Estate Planning Law Clerk

We are looking for energized law clerks to join our team at the Mangieri Law Group, located in Atlanta, GA (Perimeter Area). Associates will contribute to legal research, compose legal documents, and assist our lawyers in all aspects of client representation while working side-by-side with the managing lawyer and obtaining practical experience in trusts and estates and business law.

Responsibilities to include a variety of the following:

· Drafting, reviewing, and negotiating consulting agreements, employment agreements, incentive compensation agreements, and non-competition, non-solicitation and non-disclosure agreements

· Develop partnership agreements, operating agreements, and buy-sell agreements for business

· Draft and negotiate commercial real estate leases and contracts and structure ownership and management of real estate holding companies and subsidiary companies

· Provide legal advice and assistance to business owners and operators on various issues related to commercial contracts and vendor agreements, business entity formations and governance

· Assist clients with various aspects of, and draft documents relating to, the buying, selling and reorganizing of businesses

· Perform asset protection planning for clients with family limited partnerships and limited liability companies

· Draft various estate planning instruments, including, but not limited to last wills and testaments, revocable living trusts, irrevocable trusts for life insurance, spousal lifetime access trusts, gifting trusts, powers of attorney, and advance health care directives

· Develop elements of estate plans for executives and entrepreneurs that integrate business planning into estate plans

· Perform income, estate and gift tax planning, asset protection planning and disability planning activities for clients

· Draft and negotiate prenuptial agreements and co-tenancy agreements

Compensation:

Mangieri Law Group, LLC offers competitive salaries and incentive compensation commensurate with experience in private practice and related to the firm’s practice areas. Salary: $18 - $25 per hour – DOE
