Position Overview:
To support our continued growth, the Leon Direct Investment team (DI) is seeking a
General Counsel (GC)
with deep expertise in healthcare law, corporate transactions, and business advisory. This individual will serve as a trusted legal and strategic partner across our portfolio companies, balancing rigorous regulatory oversight with practical, growth-oriented counsel.
The General Counsel will provide hands-on legal, compliance, and strategic business support across our portfolio. This individual will play a pivotal role in structuring transactions, guiding M&A activity, and advising leadership on corporate governance and business design. The ideal candidate combines a strong foundation in healthcare law with proven experience supporting fast-growth, transaction-heavy environments.
Key Responsibilities:
Strategic Legal & Business Advisory:

Act as a thought partner to DI executives on organizational design, entity structuring, and business scaling strategies.

Advise on risk-reward tradeoffs in key business decisions, ensuring alignment with long-term enterprise value creation.

Partner with investment and operations teams to evaluate and structure new growth opportunities.
M&A and Deal Execution:

Support due diligence, structuring, and negotiation of acquisitions, joint ventures, and partnerships.

Draft and review transaction documentation, including purchase agreements, equity structures, and governance terms.

Advise on post-deal integration, ensuring seamless alignment between legal frameworks and operational execution.
Healthcare Regulatory & Compliance Oversight:

Provide expert guidance on HIPAA, HITECH, Stark Law, Anti-Kickback Statute, False Claims Act, and state-level regulatory frameworks.

Build compliance programs, policies, and training that are scalable across portfolio companies.

Proactively identify regulatory risks and craft mitigation strategies that enable business agility.
Corporate Governance & Contracts:

Advise on entity formation, governance models, and equity structures across portfolio organizations.

Draft, negotiate, and standardize agreements with physicians, vendors, and payors.

Ensure portfolio companies maintain appropriate governance and corporate records.
Employment & Operational Counsel:

Oversee employment law matters, independent contractor structures, and HR-related policies.

Support portfolio leadership with employment agreements, separation strategies, and dispute resolution.
Outside Counsel Management:

Coordinate and manage specialized external counsel, ensuring efficient, business-aligned use of resources.

Serve as the primary integrator of legal expertise across the DI ecosystem.
Qualifications:

Juris Doctor (JD) from an accredited law school; active bar membership in good standing.

5+ years of legal experience, with a strong foundation in healthcare law and transactions.

Demonstrated success supporting M&A, joint ventures, and strategic partnerships.

Experience advising healthcare providers, physician groups, or healthcare portfolio companies.

Skilled at balancing regulatory compliance with entrepreneurial business judgment.

Strong communicator, capable of influencing executives, operators, and clinicians.

Comfortable operating in a fractional/portfolio model, balancing multiple priorities simultaneously.
