Nandina REM is creating new sources of advanced materials for manufacturing supply chains. We are an early stage company specialising in the use of deep tech and material science to recover and remanufacture critical resources, creating a rapidly developing market for low-emission circular materials such as carbon fibre composites and metals.

We're looking for our first General Counsel to join as a key senior leader providing strategic advice on all aspects of our business. This is a hands on role that requires a blend of legal expertise, business acumen and an entrepreneurial spirit to co create innovation that has never existed before and to be bold in the face of challenging deep rooted institutions that are stubborn to change. We are looking for a true partner to the founders, working together to navigate the complex legal challenges of the strategic goods sector spanning international trade regulations, intellectual property and compliance in an era of growing geopolitical tensions in a sector that is considered the foundation of innovation for all modern and future aerospace and defence platforms.

Candidates must have the legal right to work in their jurisdiction of hire. Nandina REM is unable to sponsor local work visas for this role.

Key Responsibilities
  • Contracts & Commercial Law: Draft, review, and negotiate a wide range of commercial contracts, including supply agreements, vendor contracts, partnership agreements, and customer contracts. A deep expertise in contracts law is essential.
  • Startup Fundraising: Provide legal support and guidance throughout our fundraising cycles, including due diligence, term sheet negotiations, and closing documentation. Experience with venture capital funding and private equity is highly preferred.
  • International Expansion: Advise on legal and regulatory requirements for our expansion into new markets, specifically Australia and the U.S. This includes international trade regulations, export controls, and import/export compliance.
  • Corporate Governance: Manage corporate governance, including board resolutions, legal entity management, and compliance with all relevant laws and regulations in Singapore, Malaysia, Australia, and the U.S.
  • Intellectual Property (IP): Oversee our IP portfolio, including patents, trademarks, and trade secrets, and advise on IP strategy and enforcement.
  • Risk Management & Compliance: Identify and mitigate legal risks across the organization. Develop and implement company policies and procedures to ensure compliance with all applicable laws and regulations.
  • Team Leadership: Build and manage the legal department as we grow, including hiring and overseeing outside counsel as needed.

Unicorn Qualities
  • Significant amount of legal experience with a manufacturing tech startup.
  • Experience with defence technology.
  • Expertise in contracts law for both Singapore and US jurisdictions.
  • Experience in supporting a startup through fundraising from Seed to Series B.
