Position Summary

The General Counsel and Chief Compliance Officer (GC/CCO) is a key member of the executive leadership team, responsible for overseeing all legal, compliance, and risk management matters for Good360. The GC/CCO will provide strategic legal counsel to the CEO, Board of Directors, and senior leadership while ensuring Good360 operates in full compliance with all applicable laws and regulations. This role will safeguard the organization’s reputation, manage legal risks, and drive ethical business practices to support Good360’s continued growth and impact.

Key Responsibilities include, but are not limited to the following

Legal Leadership & Strategy

  • Provide expert legal counsel on corporate governance, contracts, regulatory compliance, employment law, tax-exempt status, and nonprofit regulations.
  • Draft, review, and negotiate a wide range of agreements, including corporate partnerships, donation agreements, vendor contracts, and licensing agreements.
  • Advise the CEO and Board of Directors on governance best practices, fiduciary responsibilities, and corporate legal matters.
  • Oversee litigation, dispute resolution, and risk management strategies in collaboration with outside counsel.

Compliance & Risk Management

  • Develop and implement a robust compliance program to ensure adherence to nonprofit and corporate laws, including IRS regulations, data privacy laws, and corporate social responsibility guidelines.
  • Ensure Good360 complies with international laws and regulations related to product distribution, humanitarian aid, and disaster relief efforts.
  • Monitor and interpret legal and regulatory developments that may impact the organization, providing proactive guidance on risk mitigation strategies.
  • Lead internal investigations related to legal, compliance, or ethical concerns.

Corporate Social Responsibility & Ethics

  • Ensure ethical business practices align with Good360’s mission and values.
  • Establish policies and training programs to promote compliance awareness among staff and stakeholders.
  • Work closely with internal teams to maintain compliance with donor intent, supply chain integrity, and corporate social responsibility (CSR) initiatives.

Direct Reports:

  • Director, Grants & Contracts
  • Compliance Team

  • Juris Doctor (JD) from an accredited law school; active bar membership in good standing.
  • 10+ years of experience in corporate law, nonprofit law, compliance, or related fields.
  • Experience in a nonprofit, corporate philanthropy, supply chain, or regulatory compliance environment preferred.
  • Deep understanding of tax-exempt regulations, corporate governance, employment law, and contract negotiations.
  • Proven ability to develop and implement compliance programs in a complex, multi-stakeholder organization.
  • Strong leadership and strategic thinking skills, with the ability to influence and collaborate across departments.
  • Exceptional communication and negotiation skills with the ability to present complex legal concepts in a clear and actionable manner.

The salary offered will reflect the candidate’s experience, education, and alignment with the requirements of the role, as well as Good360’s internal compensation structure.

Work Location
Hybrid, based in our Old Town Alexandria, VA office (minimum of two days per week with Tuesday as an anchor day)
