General Legal Counsel - For Leading Gems and Jewellery Company - Munbai-BKC

Key Responsibilities
- Corporate Governance Compliance:
- Advise the Board of Directors, senior management, and other stakeholders on corporate governance, legal risks, and best practices.
- Oversee corporate compliance programs, ensuring the company adheres to all applicable federal, state, and international laws.
- Develop and implement policies and procedures to ensure legal and regulatory compliance across the organization.
- Contract Management:
- Review, draft, and negotiate a wide variety of contracts, including commercial agreements, vendor contracts, NDAs, partnership agreements, and more.
- Provide guidance to internal stakeholders on contract interpretation and obligations.
- Litigation Management:
- Oversee any litigation matters, ensuring the companys interests are protected.
- Work with external counsel on litigation strategy and execution, managing outside counsel relationships and costs.
- Proactively identify and mitigate potential legal risks that could lead to disputes or claims.
- Risk Management:
- Identify legal risks and recommend strategies to minimize and mitigate such risks in business operations.
- Counsel senior management on legal matters that could affect strategic decision-making.
- Employment Labor Law:
- Advise HR and senior leadership on employment-related issues, including employee relations, compensation, benefits, workplace policies, and dispute resolution.
- Ensure compliance with labor laws and handle employment-related claims, investigations, and litigation.
- Mergers Acquisitions:
- Provide legal counsel on corporate transactions, including mergers, acquisitions, joint ventures, and other business arrangements.
- Oversee due diligence processes and integration of legal and regulatory aspects in the transactions.
- Intellectual Property:
- Develop and implement strategies for managing the company's intellectual property, including trademarks, copyrights, patents, and trade secrets.
- Advise on intellectual property matters in the context of product development, licensing, and partnerships.
- General Legal Counsel and Advice:
- Serve as the companys primary legal advisor, handling a wide range of legal matters affecting the business.
