
Responsibilities
- Corporate Governance and Partnership System: Promote the design and implementation of the group's corporate governance and partnership system to ensure the effectiveness and compliance of the company's governance structure.
- Strategic Cooperation Project Management: Organize and collaboratively plan and implement major strategic cooperation projects, including mergers and acquisitions, restructuring, and equity investments; conduct risk assessments and monitoring of strategic partners to ensure the legality and compliance of transactions.
- Legal Risk Management and Compliance Review: Proficient in international law, company law, securities law, contract law, and other relevant laws and regulations; conduct transaction risk assessments, design structural frameworks, conduct compliance reviews, and build risk control systems.
- Legal Support in Comprehensive Business Operations: Familiar with various oil and gas transaction laws and contracts; design and promote complex transaction plans to ensure they align with the company's interests and mitigate legal risks.
Job Requirements
- Master's degree or above in law or related field, holding a mainstream legal professional qualification in China or other regions, with preference given to those with licenses to practice in mainstream international jurisdictions.
- Over 8 years of legal work experience, including over 5 years of legal management experience in the energy industry or large group, familiar with corporate governance, and the design and optimization of holding company structures.
- Proficient in company law, securities law, contract law, and other relevant laws and regulations, with the ability to coordinate legal affairs across multiple levels within a group.
- Able to lead the design of complex transaction structures (such as exploration rights transfers, cross-border transactions, etc.), and possess the ability to conduct transaction risk assessments and compliance reviews.
- Possesses excellent legal analysis, contract negotiation, and risk warning capabilities, and can independently provide legal support for major capital projects.
- Familiar with international legal affairs, fluent in English, and able to use English as a working language in cross-border transactions and cooperation.
- Preference will be given to candidates from top law firms' energy groups, oil companies/Big Four oil service capital operation legal teams.
- Possesses strong communication, coordination, and cross-departmental collaboration skills, and can efficiently facilitate transactions in complex environments.
- Possesses strategic thinking and can deeply integrate legal compliance work into the company's overall strategy.
