Head of Corporate Services - Company Secretary

Duties & Responsibilities

·      Lead the corporate services team and undertake the function of Company Secretary for Trifecta clients, coordinating the requisite meeting logistics, including notice circulation, agenda preparation, and minutes finalisation.

·      Manage communications with the ADGM Registration Authority and provide guidance on the required documentation and reporting requirements.

·      Ensuring timely filing of statutory notices and resolutions within regulatory deadlines, including commercial licences and PO Box leases.

·      Provide consultancy services and advice to Trifecta clients.

·      Act as Deputy MLRO for Trifecta clients and, in the absence of the MLRO, fulfilling the requirements of the Controlled Function of MLRO.

·      Support the Consultancy team in carrying out KYC checks on clients.

·      Undertake regulatory horizon scanning and analyses, identifying the impact of regulatory changes across a portfolio of clients and Trifecta.

·      Provide coaching, mentoring, and support to other employees of Trifecta.

·      Completion of weekly and monthly timesheets to ensure accurate and efficient charging to Trifecta clients.

·      Strong ethical and moral individual, who is able to build relationships with clients, regulators and the wider Trifecta group.

·      Ability to communicate effectively and confident, with external and internal stakeholders, in both written and verbal communications.

·      Exceptional attention to detail.

·      Able to multi-task and handle a book of clients, with a wide range of business needs.

·      Good commercial awareness, with the ability to determine good outcomes for all parties involved.


Education

·      An internationally recognised professional qualification.

·      A strong academic background, including a degree in a relevant field, including but not limited to Law/Economics/Finance, or equivalent thereof.


Experience

·      A minimum of 5 years’ experience in financial services in a compliance or financial crime role, or at a financial services regulator.

  • ·      The individual should have a solid understanding of the compliance and data protection space, in addition to company secretarial duties, who is able to act in an independent and confident manner to develop policy and culture across the Trifecta group.
