In-House Corporate Paralegal

About You:
We’re looking for a sharp, energetic, and highly organized In-House Paralegal to join our growing legal team as we transition to public company status. This is a high-impact role for someone who thrives in a fast-paced environment, enjoys building processes from the ground up, and is excited to fill gaps, learn quickly, and take ownership across a wide range of legal and operational responsibilities.

You’ll play a critical role in supporting public-company requirements, contract lifecycle management, and Board of Directors activities while also serving as a trusted partner to Legal, Finance, HR, and the broader business.

Responsibilities:

  • Support CLO with Board of Directors and committee activities, including meeting calendars, logistics, materials, resolutions, minutes, and follow-ups
  • Assist with corporate governance matters, entity management, and maintenance of corporate records
  • Support CLO with SEC compliance programs, including:preparing and filing Section 16 reports (Forms 3, 4, and 5) for directors and officers, administering the insider trading policy, including trading window notifications and pre-clearance requests, maintaining filing calendars for periodic reports (10-K, 10-Q, 8-K) and proxy statements, coordinating signature pages and exhibits for SEC filings, and supporting Regulation FD compliance tracking and documentation (with appropriate supervision)
  • Own day-to-day administration of the Contract Management System (CMS), including intake, tracking, organization, and reporting
  • Support contract lifecycle processes—from intake through execution and storage
  • Partner with Legal to improve and scale contract workflows, templates, and processes
  • Respond to internal contract and legal operations questions with clarity and urgency
  • Act as a flexible, proactive utility player across the legal function, jumping in where needed as the company scales
  • Support Legal team projects related to audits, diligence requests, special projects and corporate initiatives
  • Draft, review, and organize legal documents, correspondence, and internal communications
  • Maintain clear, accurate, and well-organized records with exceptional attention to detail
  • Coordinate with outside counsel to track engagement letters and invoices
  • Help translate legal concepts into clear, business-friendly language for internal stakeholders

Qualifications:

  • 5–8 years of paralegal experience, ideally in-house and/or supporting a public company or recently public organization
  • Experience supporting Board of Directors activities and corporate governance matters
  • Strong organizational skills with a sharp eye for detail and follow-through
  • Excellent written and verbal communication skills
  • High energy, curiosity, and a willingness to jump in and learn new things quickly
  • Comfortable operating in ambiguity and helping build structure where it doesn’t yet exist

Nice to Have:

  • Hands-on experience with a Contract Management System
  • Experience supporting public-company compliance or SEC-related processes
  • IPO or de-SPAC experience
  • Paralegal certification (welcomed, not required)
  • Background in legal operations or process design
This position is based on-site at Merlin HQ in Boston, MA.
