Our client is a privately owned real estate investment group and family office with an active portfolio across hospitality, residential, logistics and mixed-use developments throughout the GCC and Europe. Operating with significant capital flexibility, the business targets opportunistic and value-add transactions, partnering with leading developers and institutional investors. As the platform continues to grow, we are seeking a talented In-House Counsel to join the team and support the Investment Director in executing complex transactions and structuring new investments.


Role Overview:

The In-House Counsel will play a key role across the full investment lifecycle, advising on legal structuring, due diligence, acquisition, financing, development and exit processes. This position is ideal for a commercially minded lawyer with strong real estate, corporate or funds experience, who wants to work directly with decision-makers on high-value, entrepreneurial deals.


Key Responsibilities

  • Support the Investment Director and senior leadership through legal oversight on acquisitions, JV structuring, development agreements and financing.
  • Lead and coordinate legal due diligence across transactions and portfolio assets.
  • Review, draft and negotiate SPAs, financing documentation, shareholder & joint-venture agreements, and development/management agreements.
  • Work closely with external legal advisors, consultants and investment partners.
  • Ensure regulatory and compliance requirements across multiple jurisdictions.
  • Support fund structuring, capital raising documentation and investor reporting.
  • Provide strategic legal insight to optimise risk-adjusted returns and commercial outcomes.


Skills & Experience:

  • 5–10 years PQE from a leading law firm or in-house investment platform.
  • Strong background in real estate transactions, corporate/M&A or funds.
  • Track record advising on complex cross-border or opportunistic deals.
  • Commercial thinker with the ability to operate in a fast-moving entrepreneurial environment.
  • Excellent communication, negotiation and stakeholder management skills.
  • Ideally based in the UAE or willing to relocate.
