Position Summary:

A&K Travel Group (AKTG), the parent company to Abercrombie & Kent and Crystal Cruises, is seeking a highly motivated attorney to join AKTG’s legal team as In-House Legal Counsel in Aventura, Florida. As In-House Legal Counsel, you will play a crucial role in partnering with AKTG’s business functions to support the company’s growth while helping our in-house legal team to manage its risk. This position is ideal for a detail-oriented attorney, comfortable working in a pragmatic and fast-paced environment, with an established background in M&A and complex capital-raising transactions. Candidate must bring demonstratable experience to the table as well as a desire to round out their expertise by taking on a wide range of additional work for a global company, including, but not limited to playing a primary role in managing business acquisitions or disposals, leading or assisting with high-level corporate governance, managing corporate processes, drafting and negotiating commercial contracts, ensuring regulatory compliance including with data protection legislation, assisting with intellectual property portfolio, supporting dispute resolution and collection efforts, and any other legal matters that may arise. If you are a specialist uninterested in expanding your legal skillset or unwilling to take on projects outside of your background, this role is not for you. If you can take the lead on M&A projects and are eager to learn new things alongside a dynamic in-house legal team, then this may be a great fit.


Responsibilities and Accountabilities:

  • Lead and execute mergers and acquisitions transactions at a global level, including conducting legal due diligence, drafting and negotiating transaction documents, advising on deal structure and regulatory considerations, coordinating with cross-functional teams, and managing the closing and post-closing process to ensure successful deal execution.
  • Lead or support corporate governance requirements and complete filings, including working with group companies based worldwide to ensure their compliance.
  • Coordinate and manage business acquisitions and disposals with outside counsel, in-house legal team, and internal stakeholders.
  • Draft, review, and negotiate all manners of commercial contracts, including technology and procurement contracts, and other legal documents.
  • Promptly and effectively assist in-house legal team with wide-range of legal projects in a support role or as the project lead, including, but not limited to answering general legal questions, supporting dispute resolution and collection efforts, assisting with intellectual property registrations, developing terms and conditions or other contracts from scratch, researching various legal or business issues, helping with operations or policies and procedures, etc.
  • To be successful in this role, you must be a self-starter who is eager to take on and timely action a wide range of legal work, not just the work you are experienced in doing, and you must provide pragmatic legal advice (not theoretical legal memos).
  • Support the legal team’s continuous improvement efforts by maintaining group databases, developing templates, and enhancing internal processes and workflows to increase efficiency and strengthen form agreements.
  • Effectively work alongside other departments across the company, including HR, Finance, Sales, Marketing, and IT.
  • Timely provide practical and actionable advice on project status, legal risks, and the legal liabilities associated with a wide-range of legal issues to relevant internal stakeholders and the in-house legal team.
  • Research and anticipate legal issues that could impact the group.

Skills and Abilities

  • Strong analytical, writing, interpersonal, and presentation skills required. Must be able to communicate effectively with others at all levels of the organization.
  • Strong demonstratable track record and comfort with immediately stepping in and taking the lead on M&A transactions.
  • Cruise or travel industry experience is highly preferred. As a minimum, experience operating in a highly regulated industry.
  • Exceptional organization, prioritization, problem-solving, and collaboration skills.
  • Ability to work in a fast-paced, dynamic environment, producing pragmatic, and actionable legal work product.
  • Proficiency in Microsoft Outlook, Word, Excel, and PowerPoint programs
  • Works in a typical office environment with quiet-to-moderate noise generated by computer printers, fax machines, and light traffic


Education and Additional Experience

  • 3-7+ years of M&A and corporate experience in a respected large law firm and/or in-house.
  • The ideal candidate has successfully led at least 7 M&A transactions from inception through closing, demonstrating the ability to manage all stages of the deal lifecycle from initial structuring and due diligence to negotiation, documentation, regulatory coordination, and final execution.
  • Additional experience with securities, insurance, or privacy law and regulation preferred, but not required.
  • A law degree from a recognized university.


Special requirements

  • 3-7+ years of corporate experience in a respected large law firm and/or in-house.
  • Experience in litigation required.
  • The position is full-time and frequently requires working additional time outside of normal business hours.
