Investment & Capital Market Lawyer

Elmadany for Securities is seeking a highly qualified Investment & Capital Market Lawyer to join our legal team on a full-time, on-site basis. The successful candidate will handle a broad range of investment and securities law matters, advise on capital market transactions, and ensure compliance with regulatory authorities in Egypt and Saudi Arabia.

Key Responsibilities

Draft, review, and negotiate investment, financing, and securities agreements.

Prepare and review IPO prospectuses and ensure compliance with CMA (Saudi Arabia) and EGX (Egypt) regulations.

Advise corporate clients, investors, and funds on capital market regulations, listing rules, and investment structures.

Support and manage IPO, M&A, private placement, and other major capital market transactions.

Coordinate and liaise with regulatory bodies, financial institutions, and international investment banks.

Conduct legal research and provide updates on securities laws, investment regulations, and market trends.

Ensure all transactions and operations comply with corporate governance and legal standards.

Requirements

Bachelor’s degree in Law (English Section) from a recognized university.

Minimum of 7 years of proven experience in investment and capital market law.

Demonstrated experience with international law firms or financial institutions.

Strong understanding of CMA (Saudi) and EGX (Egypt) capital market frameworks.

Excellent command of English (written and spoken).

Strong analytical, negotiation, and drafting skills.

Full-time commitment and ability to work on-site in Cairo.
