Associate In-House Counsel Position

Terra Vista Management is a leading California real estate asset and property management firm specializing in managing a portfolio of companies and their assets which include RV resorts, upscale mobile home parks, marinas and food and beverage operations. Our mission is to deliver exceptional service, corporate management expertise, property level support and innovative management solutions.

We are seeking a full-time attorney to join our in-house legal team as associate in-house counsel, working directly with our General Counsel. This role provides critical support across litigation, transactional matters, corporate governance, real estate, employment-related issues, and general legal operations. The ideal candidate will have a solid foundation in litigation procedures, strong knowledge of real estate matters, and a clear understanding of corporate governance and corporate, LLC, and partnership law. Exceptional organizational skills, attention to detail, strong communication abilities, and a collaborative work style are essential.

This position also requires the ability to take on new and unfamiliar tasks, independently conduct legal research to develop well-reasoned analyses, and prepare clear recommendations. The ideal candidate asks thoughtful questions and seeks guidance when appropriate while possessing the ability to work independently and exercise sound legal judgment.

This position is open to candidates located in Southern California. While there is potential for the role to be primarily remote, periodic on-site work will be required at our corporate office in Del Mar, CA, and at Terra Vista Management properties in Newport Beach, CA, and San Diego, CA.

Representative Responsibilities

Litigation

· Coordinate with and oversee outside counsel; assist internal stakeholders across all stages of litigation, arbitration, and mediation.

· Manage discovery, including document collection, retention, review, production, and analysis.

· Draft and revise discovery responses and litigation-related correspondence.

Corporate Governance and Transactions

  • Maintain corporate/entity records and minute books.
  • Draft and manage annual written consents, resolutions, and other governance documents.
  • Conduct legal research regarding corporate laws, regulatory requirements, and governance best practices.
  • Support entity ownership transfers and manage corporate compliance deadlines.
  • Assist with financings, transactional closings, due diligence, and post-closing matters.

Employment and HR Support

  • Draft and update employee housing agreements, separation agreements, and related documents using approved templates.
  • Assist with internal investigations, including fact-gathering and documentation.
  • Track labor and employment law developments and help ensure compliance.
  • Support HR with Standard Operating Procedures (SOPs), employee acknowledgements, and audit oversight.

General Legal Support

  • Draft, review, revise, and proofread correspondence, contracts, leases, policies, and other legal documents.
  • Support operations in developing SOPs and process documentation.
  • Track compliance obligations for permits, licenses, and registrations.
  • Monitor legal and regulatory changes and prepare summary memoranda.
  • Provide legal research and analysis on a broad range of issues as needed.

Legal Department Operations

  • Manage departmental calendars, key deadlines, workflows, and task tracking.
  • Prepare meeting materials and assist with internal reporting.
  • Help organize and maintain paper and electronic files, including SharePoint management.
  • Contribute to process improvement initiatives across the legal department.
  • Assist with budget tracking, invoice review, and oversight of legal spending.

Required Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the California State Bar (or eligibility for in-house counsel registration).
  • 1-3 years of legal experience, preferably including training at a law firm or in a similarly demanding legal environment.
  • Experience with California law and a strong understanding of litigation processes, corporate governance, and business entities.
  • Advanced proficiency with Microsoft Outlook, Word (including document comparison tools), Excel, SharePoint, Planner, Adobe Acrobat Pro, and virtual collaboration tools.
  • Strong legal research skills, including proficiency with online research platforms and general internet research tools.

Compensation

Salary contingent on experience. Benefits include paid company holidays, vacation and sick time, two floating holidays, 401(k) with match, and company medical, dental, vision and life insurance. As a Terra Vista Management team member, you also are welcome to visit the RV resorts with friends and family.

Job Type: Full-time

Pay: $120,000.00 - $150,000.00 per year
