Role Overview

We Founder Circle Pvt. Ltd. is seeking a proactive and experienced Legal and Compliance Head to lead all legal, compliance, and corporate governance functions. This role will be pivotal in managing complex investment-related legal matters, ensuring regulatory compliance, and providing strategic legal counsel to support the company’s venture capital and investment ecosystem.

Key Responsibilities

· Take end-to-end ownership of legal aspects of venture capital and private equity investments, including structuring, negotiation, execution, and closing.

· Draft, review, and negotiate investment documentation such as SSHA/SHA, SSA, CCD/CCPS agreements, side letters, and amendments.

· Ensure compliance with SEBI (AIF Regulations), IFSCA/GIFT City regulations, FEMA, and applicable corporate and securities laws.

· Manage legal and compliance requirements for Alternative Investment Funds (AIFs), investment trusts, and associated entities.

· Conduct regular AIF regulatory filings, including Form A, Form B, Form C, and reporting requirements to SEBI.

· Oversee fund compliance with investment restrictions, leverage limits, investor eligibility, and valuation norms under SEBI AIF Regulations.

· Lead legal due diligence for investments and advise on risk mitigation strategies and closing conditions.

· Advise Boards, founders, and senior management on corporate governance, fiduciary duties, and related-party transactions.

· Oversee post-investment compliances, investor rights, covenants, and portfolio company governance matters.

· Draft, review, and vet commercial, advisory, accelerator, ESOP, and other business agreements.

· Handle ROC filings, company law matters, and intellectual property-related issues.

· Manage legal notices, disputes, and coordination with external legal counsel.

· Act as the primary legal point of contact with investors, founders, regulators, and external advisors.

· Develop, implement, and monitor internal legal and compliance policies, frameworks, and best practices.

Qualifications & Skills

· Minimum 4+ years of experience in corporate legal, compliance, or investment-related law.

· Strong working knowledge of Companies Act, SEBI (AIF Regulations), FEMA, and investment compliance.

· Experience in AIF fund structuring, fund documentation, reporting, and regulatory compliance.

· Excellent drafting, negotiation, and communication skills.

· Proven ability to manage multiple stakeholders, including founders, investors, and law firms.

· Leadership mindset with the ability to guide teams and enforce legal and compliance protocols effectively.
