Legal Associate - Lawyer

Standards of excellence and attention to detail are critical competencies expected of any member of the Tamasuk team, whether legal or otherwise. Tamasuk operates within the infrastructure sector, predominantly focused on projects which take place under project financing structures. The successful candidate will be expected to work on corporate matters in respect of both the group's holding companies, as well as special purpose vehicles incorporated for asset development and operations and therefore experience of working within the field of public private partnership project development as well as good working knowledge of Saudi law and practice is expected. The successful candidate will be expected to work on dual language English/Arabic documents.

Key Responsibilities

Corporate Legal Advisory

Provide comprehensive legal counsel and guidance on a broad spectrum of corporate matters, encompassing corporate governance, compliance, and regulatory affairs. Draft, review, and negotiate a variety of corporate agreements, contracts, and legal documentation, including corporate resolutions, ensuring alignment with organizational objectives and legal requirements.

Transactional Support

Contribute to corporate transactions, including joint ventures and strategic alliances, by conducting due diligence assessments and facilitating the transactional processes in compliance with applicable laws and regulations. Support the legal team on the development and implementation of PPP projects through the entire project life cycle, from bid submission to financial close, through construction and onto the operations phase (support level depends on experience).

Risk Management and Compliance

Proactively identify, assess, and mitigate legal risks associated with corporate operations, and follow effective risk management strategies to safeguard the company's interests. Support in the implementation and maintenance of robust compliance frameworks, policies, and procedures to uphold legal and regulatory standards across the organization.

Stakeholder Engagement

Cultivate strong relationships with internal stakeholders, including shareholder representatives, senior management, business units, and external advisors, to address legal challenges, provide strategic guidance, and maintain a culture of legal awareness and compliance. Collaborate closely with external legal counsel and consultants on specialized legal matters requiring expert insights and support.

Legal Research and Thought Leadership

Stay abreast of evolving legal developments, industry trends, and regulatory changes impacting the company's operations, and provide proactive legal analysis and recommendations to support informed decision-making. Conduct in-depth legal research and analysis to support legal strategies, precedent-setting cases, and propose solutions tailored to the organization's evolving needs.

Profile

• Formally qualified lawyer admitted to practice law in home jurisdiction.
• Bachelor's degree in law from a reputable university.
• Additional qualifications in other jurisdictions are advantageous.
• Minimum 8 years of experience as a corporate and/or projects lawyer, with a strong foundation in corporate law, commercial law, and corporate governance practices. Law firm experience is preferred.
• Excellent drafting, negotiation, and communication skills, with a demonstrated ability to communicate complex legal concepts effectively.
• Experience in construction industry, handing PPP projects will be an added advantage
• Ability to work autonomously, and thriving in a dynamic, fast-paced environment.
• Written and oral fluency in both English and Arabic languages is mandatory.
