Legal, Contracts & Compliance Senior Manager

Job Purpose:

Lead and deliver high-quality legal, contractual, governance, and compliance support across the organization. The role is responsible for managing legal risk, ensuring regulatory compliance, strengthening governance frameworks, supporting strategic transactions, and acting as a trusted advisor to leadership while driving operational excellence and future-ready legal capabilities.

Key Responsibilities:

Legal Advisory & Corporate Support

• Provide proactive legal advice on Saudi laws, regulations, and corporate requirements

• Support legal matters related to commercial operations, projects, bids, tenders, and contractual arrangements

• Manage disputes, claims, litigation matters, and coordinate with external counsel

• Conduct legal risk assessments and implement mitigation strategies

Contract Management & Commercial Support

• Oversee the full contract lifecycle including drafting, review, negotiation, and interpretation

• Advise project teams on contractual risk, claims, variations, and dispute avoidance

• Ensure contracts align with internal policies, delegation of authority, and compliance requirements

• Develop templates, playbooks, and contract governance best practices

Compliance & Ethics

• Support implementation and continuous improvement of compliance programs

• Oversee key compliance pillars including anti-corruption, competition law, data privacy, and third-party risk management

• Conduct compliance risk assessments and remediation plans

• Support investigations, internal reviews, and corrective actions

• Lead compliance reporting, dashboards, and regulatory submissions

• Deliver training, awareness campaigns, and promote ethical culture

Corporate Governance & Secretarial

• Manage governance frameworks across business entities

• Handle board resolutions, shareholder matters, powers of attorney, and statutory filings

• Ensure compliance with local corporate laws and regulatory requirements

• Support optimization of legal entity structures and governance processes

Strategic Transactions & M&A

• Support mergers, acquisitions, joint ventures, restructurings, and strategic initiatives

• Lead due diligence processes and transaction documentation

• Coordinate with headquarters, advisors, and authorities on approvals and execution

• Support post-transaction integration from legal and governance perspectives

Government & External Relations

• Act as key legal liaison with government authorities and regulators

• Manage regulatory inspections, inquiries, and official communications

• Manage relationships with external law firms and advisors

• Represent the Legal & Compliance function in internal and external meetings

Leadership & Continuous Improvement

• Demonstrate strong leadership, professionalism, and collaboration

• Mentor team capabilities in legal, governance, and compliance functions

• Lead process improvement, automation, and digital transformation initiatives

• Contribute to succession planning and future leadership readiness

Requirements:

• 8–10 years of progressive experience in Legal, Contracts & Compliance

• Strong Saudi Arabia market and regulatory experience

• Background in multinational or complex regulated environments preferred

• Fully qualified lawyer with advanced legal education preferred

• Strong experience in governance, contracts, compliance, and corporate law

• Previous experience in Defense, infrastructure, energy, industrial, aviation, technology, or similarly regulated sectors.

• Fluent in Arabic and English
