Responsibilities
- Draft, review, and negotiate a wide range of agreements, including purchase and sale agreements, operating agreements, loan documents, vendor contracts, and service agreements.
- Maintain a central repository for executed contracts and track key terms, renewals, and obligations.
- Coordinate with internal departments (Acquisitions, Finance, Investor Relations) to ensure contract compliance and execution.
- Support preparation and review of offering documents, private placement memorandums (PPMs), subscription agreements, and investor disclosures.
- Ensure compliance with federal and state securities regulations (Reg D offerings, SEC filings, etc.).
- Assist in entity formation, maintenance, and corporate governance documentation (LLCs, LPs, etc.).
- Monitor changes in real estate, investment, and corporate laws affecting company operations.
