Legal Counsel

Assist in the review and the processing of legal, contractual and governance matters to mitigate risks and protect ENEC Operation’s interest in accordance with applicable legal practices and ENEC Operation’s standards and procedures.

Legal Advisory Services Responsibilities and Accountabilities:

• Provide legal advice, opinions, letters, memos, and recommendations to internal stakeholders on regulatory matters involving FANR and other stakeholders and as required by other Functions in order to protect ENEC Operation’s interests and optimize business outcomes.

• Report to and liaise on all material and significant risks and legal issues affecting the Company in matters related to the job purpose and make recommendations on mitigating actions.

• Assist with legal matters to provide accurate and timely services efficiently and effectively.

• Assist with external counsel to support resolution of specific legal matters.

• Assist with litigation, arbitration, and any other formal dispute resolution arising from time to time in coordination with internal and external stakeholders in order to protect ENEC Operation’s interests and optimize business outcomes.

Governance

Responsibilities and Accountabilities:

• Provide guidance and advice to internal stakeholders on corporate governance framework to ensure compliance with laws and regulations and internal processes.

• Provide feedback regarding ENEC Operations legal compliance and any internal/external identified risk, recommend mitigating actions, advise on relevant regulations and respond to existing legal requirements to ensure that ENEC Operations corporate governance remains aligned to global best practices.

• Provide input into the development of the strategic plan for the Legal Department to ensure alignment with ENEC Operation’s vision, mission and strategic goals under ENEC Operation’s business model

• Identify and develop risks and controls for the Legal Function in tandem with the risk manager for the Legal Function and monitor implementation.

• Act as compliance ambassador for assigned field to ensure alignment with compliance obligations jointly with the compliance team

Contract negotiations, Investigations, disputes

Responsibilities and Accountabilities:

• Assist with drafting, reviewing, and maintaining standard templates for use in all tenders as required by the scope of work

• Assist with drafting and reviewing employment contracts and advising on interpretation and amendments to the same.

Education and Experience -

• Bachelor's Degree in Relevant Field.

• 6 to 7 years of relevant experience.

- Licensed and qualified to practice law in the UAE.

- Strong command of UAE laws and regulations, including commercial, corporate, and labor law.

- Ability to advise on and draft/review contracts governed by English law (as many of our agreements are subject to English law standards).

- Excellent drafting, negotiation, and communication skills in English.

- Strong working proficiency in Arabic and English with the ability to review and draft Arabic legal documents when required.
