Legal Counsel

Role Overview:

The Legal Counsel will provide strategic legal support across Sirius and its subsidiaries, ensuring robust governance, risk management, and regulatory compliance. The role involves drafting, reviewing, and negotiating complex contracts, advising management on corporate and commercial matters, and supporting cross-border transactions in alignment with UAE laws and ADGM regulations.

Key Responsibilities:

• Provide legal advice on corporate, commercial, and regulatory matters across group entities.
• Draft, review, and negotiate contracts, MoUs, NDAs, partnership agreements, and investment documents.
• Ensure compliance with ADGM, UAE Labour Law, and other relevant statutory frameworks.
• Support due diligence and structuring of mergers, acquisitions, and joint ventures.
• Liaise with external legal advisors, regulatory bodies, and government authorities as required.
• Review and maintain the company’s legal policies, templates, and governance frameworks.
• Advise management on potential legal risks and propose mitigation strategies.
• Support risk and compliance teams in policy enforcement and internal audits.
• Handle dispute resolution, arbitration, and litigation coordination when necessary.
• Monitor regulatory updates impacting business operations and provide proactive guidance.

Qualifications & Experience:

• Bachelor’s or master’s degree in law from a recognized university.
• Minimum 6–10 years of experience in corporate or commercial law, preferably within the UAE.
• Prior experience in a holding company, investment firm, or multinational environment is preferred.
• Strong knowledge of UAE corporate law, ADGM regulations, M&A, and contract law .
• Excellent drafting, negotiation, and communication skills.
• Ability to manage multiple priorities in a fast-paced and confidential environment.

• Fluency in English; Arabic proficiency is an advantage.
