Legal Counsel

About Role:

We are seeking a Legal Counsel to join a regulated fintech and digital payments business in the UAE. This is a hands-on in-house role requiring strong experience across financial services regulation, commercial contracting, corporate governance, and cross-border legal matters.

The role involves working closely with business, compliance, and operations teams to provide practical legal support in a fast-paced, regulated environment.

Key Responsibilities

Corporate & Legal Advisory

• Provide day-to-day legal support across corporate and operational matters

• Maintain corporate records and ensure statutory documentation is up to date

• Support engagement with external advisors and service providers

Regulatory & Compliance Support

• Support legal and regulatory obligations relating to licensed financial services activities in the UAE

• Assist in maintaining licensing documentation and regulatory requirements

• Work closely with compliance and risk functions to support governance and control frameworks

Commercial Contracts

• Draft, review, and negotiate a wide range of commercial agreements including client, vendor, partnership, and technology contracts

• Ensure agreements are legally sound, commercially balanced, and aligned with applicable regulations

Corporate Governance

• Support board and shareholder governance processes including resolutions, minutes, and related documentation

• Contribute to maintaining strong corporate governance standards

Risk & Legal Support

• Assist with disputes, regulatory matters, and external counsel coordination where required

• Support internal legal awareness and risk mitigation initiatives

Requirements

• Minimum 5+ years of legal experience in fintech, payments, banking, financial services, or technology sectors

• Strong UAE and/or GCC experience is essential

• Qualified to practice in a common law jurisdiction (UK, US, or equivalent)

• Strong understanding of financial regulations, payment services, and commercial contracting

• Experience working in in-house legal roles is preferred

• Strong stakeholder management and commercial mindset

• Ability to operate independently in a fast-moving environment
