Legal Counsel, Investments and Commercial (English/Arabic)

Own group-wide legal support across investments and commercial activity. Draft and negotiate JV and M&A documentation, oil and gas trade contracts, shipping contracts (time chartering), brokering agreements, and claims support, working directly with the CEO to protect value and enable fast execution.

The Role

This is a hands on individual contributor role providing end to end legal and contracting support across group investment activity and commercial operations. You will be commercially sharp, execution focused, and comfortable operating as a one person function under time pressure.

What you will do

• Support investment transactions from structuring through signing and closing; draft and negotiate JV documents including term sheets, JV agreements, shareholders agreements, governance frameworks, and side letters.
• Support M&A transactions including NDAs, LOIs, SPA/APA documentation, due diligence coordination, CP tracking, and closing deliverables.
• Draft, review, and negotiate oil and gas trade contracts and related commercial documentation; draft and negotiate brokering agreements including commissions, exclusivity, and dispute clauses.
• Draft and negotiate shipping contracts with specific exposure to time chartering; support claims and dispute avoidance strategy including notices, time bars, escalation paths, and arbitration or litigation options where needed.
• Build and maintain clause libraries, model forms, checklists, and negotiation playbooks; improve workflows, approval matrices, and handovers across commercial, finance, operations, and executives; prepare decision memos and risk notes.
• Coordinate external counsel efficiently and translate legal advice into clear business decisions with cost and timeline discipline.

What you bring

Must-have

• 6 to 10 years of relevant experience in legal and/or commercial contracting with strong exposure to investments, JV agreements, or M&A support.
• Proven experience drafting and negotiating oil and gas trade contracts and shipping contracts, with time chartering exposure strongly preferred.
• Strong claims management capability in a commercial environment (shipping, trading, or complex contracting).
• Bilingual contract drafting and negotiation in Arabic and English.
• Strong command of commercial risk allocation, governing law strategy, and dispute resolution clauses; able to influence senior stakeholders with high confidentiality and ownership.

Nice-to-have

• Prior UAE work experience; regional exposure including Iraq.
• Qualified lawyer. Exceptional senior paralegal profiles with demonstrable transactional drafting and negotiation experience may be considered. EPC contract exposure.

Location

Dubai, UAE (DIFC HQ), with periodic travel to Iraq as required. Reports to the Chief Executive Officer.

High ownership role at the center of investment decisions and commercial execution, with direct CEO exposure and a mandate to build practical contracting tools that protect value and speed up delivery.
