Role Overview:
The Legal Counsel will act as the company’s primary legal advisor across Saudi Arabia /ME and international matters.
This role reports directly to the CEO and works closely with the executive leadership team, business units, and external stakeholders.
This is a high-impact, strategic position requiring both strong technical legal expertise and commercial judgment in a fast-paced startup environment.
Key Responsibilities:
Executive & Strategic Advisory

Serve as a trusted legal advisor to the CEO and leadership team

Provide legal guidance on strategic growth initiatives and expansion plans

Support Board-level and shareholder matters related to the joint venture
Corporate & Governance

Ensure compliance with Saudi corporate laws and regulatory frameworks

Oversee company structuring, licensing, governance, and regulatory filings
-
Manage shareholder agreements and corporate documentation
M&A & Strategic Transactions

Lead legal workstreams for mergers, acquisitions, and investments

Draft and negotiate MOUs, term sheets, SPA, SHA, and transaction documents

Manage legal due diligence processes

Support cross-border transactions
Commercial & Technology Contracts

Draft, review, and negotiate:

Strategic partnership agreements
-
Enterprise and vendor contracts
-
SaaS and technology licensing agreements
-
Data protection and AI governance agreements
-
NDAs and confidentiality agreements
-
Protect Magna AI’s intellectual property
Regulatory & Risk Management

Ensure compliance with Saudi and international regulations
-
Identify legal risks and propose mitigation strategies

Coordinate with external law firms when required
Qualifications:
-
Law degree (LLB minimum; LLM preferred)
-
Licensed in KSA preferred, or strong experience advising in Saudi and Middle East jurisdiction with strong cross border experience and ability to work across multi-jurisdictions with business units and external advisors.

7–12+ years of experience in corporate, M&A, Data Privacy, Artificial Intelligence and technology law.

Experience in startup, tech, or joint venture environments with cross border and international experience strongly preferred. A background of working with multi-national organizations and/or law firm would be an added advantage.

Strong knowledge of Saudi regulatory environment and cross-border transactions
