Our client, a leading Bank in UAE is looking for Legal Counsel - Legal & Corporate Governance.

Job Purpose
To provide accurate, timely, and commercially sound legal advice that supports business objectives, ensures compliance with applicable laws and regulations, and mitigates legal and regulatory risks.
Key Responsibilities
- Draft, review, negotiate, and amend standard and non-standard agreements.
- Provide legal advice and guidance on contractual, commercial, and operational matters.
- Support complex contractual arrangements with vendors, service providers, consultants, and technology partners.
- Review and advise on technology-related contracts, including but not limited to:
- Subscription and SaaS agreements
- Licensing agreements
- Master Services Agreements (MSAs)
- Professional Services Agreements (PSAs)
- Data Processing Agreements (DPAs)
- Maintenance and support agreements
- Review and negotiate non-technology agreements such as:
- HR-related contracts
- Operational and consultancy agreements
- Non-disclosure agreements (NDAs)
- Engagement letters and factoring agreements
- Provide legal input on corporate authorities, authorised signatories, and execution of documents.
- Advise internal stakeholders on legal matters arising from day-to-day business operations.
- Liaise with internal teams to review and update authority matrices and signatory powers for contractual and operational purposes.
- Support initiatives related to legal risk management, governance, and compliance.
- Participate in department-wide projects and process improvement initiatives.
- Instruct, manage, and coordinate with external legal counsel when required.

- Operates within a regulated environment and provides legal support across multiple business and support functions.
- Ensures business activities are conducted in compliance with applicable laws, regulations, and internal policies.
Communication & Stakeholder Management
- Work closely with internal departments to provide legal advice and support.
- Coordinate with external law firms and advisors on transactional and advisory matters.
- Build collaborative and professional relationships with internal and external stakeholders.
Decision-Making Authority
- Accountable for providing independent and reliable legal advice to management and business teams.
- Exercises judgment in identifying legal risks and recommending mitigation strategies.
- Supports management decision-making through sound legal analysis.
Qualifications
- Bachelor's degree in Law from a recognised university.
- Professional legal qualifications will be an added advantage.
Experience
- 3-7 years (or more) of relevant legal experience within banking, financial services, or comparable regulated environments.
- Strong knowledge of corporate, commercial, financial, labour, civil, arbitration, litigation, and insurance laws.
- Solid understanding of business and commercial concepts.
Skills & Attributes
- Excellent command of English; Arabic is an advantage.
