Legal Counsel - M&A

Job Overview

We are seeking a highly skilled and business-oriented Legal Counsel with strong Mergers & Acquisitions (M&A) expertise to join our legal team. The role will focus on supporting the company’s strategic growth through acquisitions, joint ventures, investments, and other corporate transactions, while also advising on general corporate and commercial matters.

Roles and Responsibilities:

• Provide legal support and advice on all aspects of M&A transactions , including due diligence, structuring, drafting, negotiation, and closing.
• Draft, review, and negotiate a wide range of transactional documents such as share purchase agreements, shareholder agreements, joint venture agreements, investment agreements, and related contracts.
• Manage and coordinate external legal counsel where necessary, ensuring quality and cost efficiency.
• Advise senior management and business teams on transaction risks, mitigation strategies, and compliance requirements .
• Support post-merger integration activities and ensure compliance with applicable legal and regulatory frameworks.
• Conduct and oversee legal due diligence on target companies and prepare due diligence reports.
• Assist in corporate governance, regulatory filings, and maintaining compliance with local and international laws.
• Collaborate with cross-functional teams (finance, tax, strategy, HR) to ensure seamless execution of transactions.
• Monitor relevant laws, regulations, and market trends impacting corporate and M&A activities.

Key Qualifications & Requirements

• Excellent academic records with a law degree from a top law school.
• 3 to 4 years of experience in M&A transactions is a MUST
• Excellent communication skills in English
• Knowledge of Arabic is a plus
• Solid understanding of legal issues
• Strong communication skills
