JOB SUMMARY
The Legal Manager is responsible for providing strategic and operational legal support for Kuwait Branch and across the Company. This includes advising executives and business units on legal, regulatory, and compliance matters; drafting, reviewing, and negotiating contracts; and overseeing litigation, dispute resolution, and external counsel coordination. The role also entails ensuring adherence to applicable insurance regulations, supporting employment law, intellectual property protection, and mergers and acquisitions. The Legal Manager plays a key role in safeguarding the company’s interests and promoting sound governance, transparency, and legal integrity in all operations.
DUTIES & RESPONSIBILITIES

Providing legal advice to the company's executives, management, and employees on various legal matters affecting the company’s business.

Advising on laws and regulations.

Drafting and reviewing contracts related to business, customers, suppliers, vendors, partners, and other third parties.

Ensuring that contracts are legally sound and protecting the company's interests.

Supporting the company's corporate governance activities, including board and committees’ meetings, shareholders' communications, and regulatory filings.

Ensuring compliance with corporate governance requirements and best practices.

Identifying, assessing, and mitigating legal risks that could impact the company's reputation, operations, or financial performance.

Managing litigation and disputes involving the company, including selecting and working with external law firms, developing litigation strategies.

Exploring alternative dispute resolution methods, such as amicable settlements, to resolve conflicts efficiently.

Protecting the company's intellectual property rights, including patents, trademarks, copyrights, and trade secrets.

Providing legal support for mergers, acquisitions, joint ventures, and other corporate transactions.

Conducting due diligence, drafting transaction agreements, and facilitating the legal aspects of deal closings.

Advising on employment law matters, including employee contracts, termination procedures, and efficient HR policies.

Handling employment-related disputes, investigations, and compliance issues.

Ensuring compliance with insurance regulations and standards governing the company's operations.

Monitoring changes in relevant laws and regulations and advising the company on potential impacts and compliance requirements.
EXPERIENCE & KNOWLEDGE

Master’s degree in Law, finance, Business Administration, or related field

Bachelor’s degree in law.

Minimum 8 years of experience in legal

Minimum of 3 years of insurance specific experience and understanding of legal risks affecting life and general insurance business is preferable

Sound understanding of compliance principles and legal framework with relevant experience within an insurer/financial services company/audit/consulting company of significant size

Strong analytical skills and compliance risk modeling experience

Knowledge of statistics, data collection, analysis, and data presentation
