A prestigious, high-performing Am Law firm is seeking an NDA Associate to join its M&A and Private Equity team based in New York City. This position focuses on reviewing and negotiating non-disclosure agreements for sophisticated corporate transactions. It offers remote work flexibility and significant client-facing exposure within one of the most respected corporate practices in the country.
This is one of the nation's most prominent corporate powerhouse firms. The associates we know practice at some of the highest levels available—there is no question you will learn your craft here—and learn it well. Although their corporate section reigns supreme, we have been really impressed with the work the litigators are tackling—including white collar crime work that is fairly impressive and noteworthy. Key Responsibilities
• Review, draft, and negotiate non-disclosure agreements (NDAs) and related deal documents.
• Engage directly with clients to provide timely, precise, and strategic advice.
• Support M&A and Private Equity deal teams in maintaining confidentiality compliance and transaction readiness.
• Manage a consistent volume of NDA work with efficiency, accuracy, and commercial awareness.

Qualifications
• Minimum 2 years of M&A or transactional experience in a law firm setting.
• Strong negotiation and drafting skills, particularly involving NDAs and confidentiality agreements.
• Excellent interpersonal and communication skills with the ability to manage client interactions professionally.
• JD from an accredited law school and admission to practice in at least one U.S. jurisdiction preferred.
• Ability to work independently and remotely while maintaining strong collaboration with deal teams.
