Job Summary
This is a full-time remote role for a Manager, Transaction Advisory Services. The responsibilities include leading and managing financial due diligence engagements, conducting quality of earnings (QoE) and net working capital analyses, and supporting mergers and acquisitions (M&A) activities. The role also involves reviewing financial documents, identifying key financial trends, and communicating insights to stakeholders. Additionally, the manager will collaborate with clients to ensure alignment on strategic goals and provide advice that minimizes risk and maximizes transaction value.
Qualifications
- 3- 5 + years of relevant experience in conducting Transaction Advisory & Financial Due Diligence work.
- Strong working knowledge of U.S. GAAP, accrual accounting, and common EBITDA adjustments.
- Bachelor’s degree in Accounting, Finance, or Economics required; CPA, CFA, or MBA preferred.
- Advanced Excel and PowerPoint proficiency, including data manipulation and financial modeling.
- Excellent verbal and written communication skills; able to simplify complex topics for clients.
- Proven ability to manage multiple projects and deadlines independently.
- High attention to detail, integrity, and client service orientation.
- Strong Analytical Skills to evaluate financial data and identify trends and potential risks.
- Expertise in Finance, including financial modeling and understanding of financial statements.
- Technical proficiency in Due Diligence and Mergers & Acquisitions (M&A) processes.
- Solid knowledge of Accounting principles and practices.
- Effective communication skills to present findings and insights clearly to clients and team members.
- Proven ability to lead projects, manage cross-functional teams, and work independently in a remote setting.
- CPA or equivalent professional certification is preferred.
- Experience in private equity, transaction advisory services, or investment banking.
Duties
- Lead and manage end-to-end transaction advisory engagements, including mergers & acquisitions, divestitures, and restructuring projects.
- Conduct comprehensive financial analysis, including financial statement preparation, cash flow analysis, and financial report interpretation to support client decision-making.
- Perform due diligence reviews focusing on fraud prevention and detection, internal audits, and compliance management aligned with regulations such as the Bank Secrecy Act, SOX (Sarbanes-Oxley Act), IFRS (International Financial Reporting Standards), GAAP (Generally Accepted Accounting Principles), and securities law.
- Develop detailed financial models, forecasts, and valuation reports utilizing advanced financial software tools.
- Ensure adherence to technical accounting standards such as IAS (International Accounting Standards), GAAS (Generally Accepted Auditing Standards), GAAP, and tax regulations through meticulous account analysis and bookkeeping practices.
- Collaborate with cross-functional teams to facilitate regulatory reporting, internal controls implementation, and cost accounting initiatives.
- Prepare clear, concise financial reports and presentations for executive leadership and stakeholders that highlight key insights from complex data sets.
- Stay current on industry trends in corporate finance, tax experience, IFRS updates, and financial concepts to provide innovative advisory solutions.
Requirements
- Bachelor’s degree in Accounting, Finance, or related field; CPA or equivalent certification preferred.
- Proven experience in public accounting or corporate finance with a focus on transaction advisory services or M&A consulting.
- Strong knowledge of financial concepts including financial analysis, internal audits, cash management, cost accounting, forecasting, and general ledger reconciliation.
- Familiarity with regulatory frameworks such as the Bank Secrecy Act, SOX compliance requirements, securities law, IFRS standards, GAAP principles, and tax accounting practices.
- Expertise in financial statement preparation and interpretation along with proficiency in financial software tools used for modeling and analysis.
- Excellent analytical skills with a keen eye for detail; ability to interpret complex financial data accurately.
- Exceptional communication skills for preparing comprehensive reports and delivering impactful presentations to clients and stakeholders.
