NDA Attorney

Broadway & Elmer, LLC is a boutique law firm that provides NDA negotiation services to premier private equity firms, investment advisors, family offices and portfolio companies. We are based in New York, but the candidate will work remotely. We are considering independent contractor candidates from any state but working hours will be based on Eastern Standard Time.

The ideal candidate is comfortable working independently and as part of a collaborative team, has exceptionally strong writing and communication skills and experience with contract negotiation.

M&A, private equity or buy-side/sell-side NDA negotiation experience is REQUIRED.

Responsibilities

• Draft and negotiate NDAs, including release letters, non-solicits/no-hires, standstills and non-circumvents for sophisticated private equity firms, investment advisors, family offices and portfolio companies for M&A and financing transactions across multiple industries
• Manage a high volume of contracts under tight deadlines
• Work with clients’ in-house legal team, executives, deal professionals and investment banks
• Provide responsive service to client questions and requests
• Track status of NDAs and record final terms

Qualifications

Candidate must have:

• 1+ years’ experience exclusively in M&A, private equity and/or securities OR have negotiated 200+ buy-side/sell-side NDAs
• Ability to draft/negotiate high volume of documents under tight deadlines
• Ability to communicate legal/business issues confidently and succinctly via email and on the phone
• Strong negotiation skills, including problem-solving and decision-making
• Heightened attention to detail and exceptional organization skills
• Strong grammar skills is a must
• High degree of professional ethics and integrity
• Ability to work from a dedicated home office with reliable internet
• JD from accredited law school and be a member of the bar in at least one relevant jurisdiction
