The Opportunity
Taylor Colicchio LLP is seeking a part-time Paralegal to join our team in Princeton, NJ. The ideal candidate is detail‑driven, proactive, and comfortable managing multiple deal workflows on tight timelines while communicating clearly with clients and counterparties.
Daily Responsibilities
- Commercial Real Estate Transactions: Assist with acquisitions, dispositions, and financings, including due diligence; prepare and manage closing checklists; coordinate signatures, escrow, and closings; compile closing binders.
- Title/Survey & Searches: Order and review title commitments and surveys; coordinate title curatives; perform UCC, lien, judgment, and litigation searches; prepare UCC-1/UCC-3 filings and track post‑closing obligations.
- Loan & Transaction Documents: Draft and proof ancillary documents (resolutions, certificates, officer/manager consents, estoppels, SNDAs, assignments, notices, closing statements) and maintain version control.
- Entity Formations & Governance: Form LLCs, corporations, and limited partnerships; obtain EINs; maintain minute books and corporate records; prepare annual reports and qualifications; manage cap tables and ownership schedules as needed.
- Partnership/Operating Agreements: Prepare drafts from templates, manage signature packets, and organize schedules/exhibits.
- Liaison & Project Management: Coordinate with clients, lenders, title companies, brokers, and opposing counsel; maintain calendars of critical dates and deliverables; oversee data rooms.
- Hospitality-Related Support (as needed): Assist with business and regulatory filings for hospitality clients; alcoholic beverage control (ABC) licensing experience is a plus.
Required Skills
- 1-2 years’ experience as a transactional paralegal in commercial real estate and/or corporate law (law‑firm experience preferred).
- Strong proofreading and organizational skills with attention to detail.
- Proficiency with Microsoft 365 and PDF tools; familiarity with document management and timekeeping.
- Ability to prioritize competing deadlines, manage checklists, and communicate professionally with clients and counterparties.
- Bachelor’s degree and/or ABA‑approved paralegal certificate preferred.
Location & Schedule
- Princeton, New Jersey — in‑office preferred three (3) days per week. 8 hours per day. Will consider some remote scheduling for strong candidates.
