Position Summary:
Reporting to the Paralegal Manager, the Corporate Paralegal will work directly with Attorneys in the Corporate and Securities Practice Group.

Key Responsibilities:
  • Demonstrate ability to convey information to individuals at all levels within the firm in a courteous and professional manner; strong service orientation.
  • Prepare and deliver various documents, certificates, statements, amendments, annual reports, and forms.
  • Conduct UCC and other searches and analyze and summarize results.
  • Develop and track closing checklists and transaction documentation from initiation of a transaction through completion of post-closing tasks, including closing binders.
  • Assist in preparation of closing statements.
  • Review and evaluate due diligence materials.
  • Secure Certificates of Good Standing, copies of filed Articles and Amendments.
  • Leverage expertise in working with CT Corporation, Capitol Services, and other registered agent entities and State Business Offices (normally Secretary of States) to form, maintain and dissolve entities, file necessary paperwork, and file/amend/terminate Uniform Commercial Code filings.
  • Draft and refine form documents related to entity formation and governance.
  • Develop and organize corporate transaction exhibits; compare and contrast exhibits and identify discrepancies for follow-up.
  • Apply knowledge of payment procedures for filings and registered agent services.
  • Perform in-depth research utilizing external court or agency websites to retrieve factual information for a case or transaction.
  • Collaborate directly with attorneys and clients during closings and corporate transactions.
  • Effectively prioritize a high volume of time-sensitive projects, with the ability to multi-task, maintain attention to detail, and work well under pressure.
  • Execute additional responsibilities as assigned.
Job Requirements:
  • Bachelor’s degree with ABA paralegal certification or Associates/Bachelor’s degree in Paralegal Studies, preferred.
  • 3–5 years of paralegal experience, preferred.
  • Exhibit comprehensive knowledge and understanding of legal principles and practices.
  • Demonstrate proficiency in Microsoft Office Suite.
  • Showcase strong organizational and problem-solving skills.
  • Exemplify superior interpersonal skills to ensure effective communication across a diverse group of internal and external clients, attorneys, and staff while maintaining high level of work quality and customer service.
  • Maintain discretion while handling confidential and sensitive information.
