Paralegal & Corporate Affairs Executive

Job Purpose:

Provide comprehensive paralegal and corporate affairs support across a diverse portfolio of privately owned companies operating in multiple sectors and jurisdictions. The role supports the Legal & Corporate Affairs function in managing governance, compliance, company secretarial matters, contracts, and regulatory obligations to ensure all entities operate in line with applicable laws.


The role supports a group of companies (including SPVs, cross border entities) operating across sectors including, but not limited to Aviation, Commodities Trading, Real Estate, Boutique Fashion, Hospitality.


Key Responsibilities:

Paralegal Support

  • Assist in the preparation, review, and management of legal documents, contracts, and agreements.
  • Conduct legal research and summarize findings to support decision-making.
  • Maintain accurate and up-to-date legal records and documentation.


Corporate Affairs & Company Secretarial

  • Support company incorporation, restructuring, and liquidation processes across relevant jurisdictions.
  • Coordinate renewal of trade licenses, registrations, and permits in a timely manner.
  • Maintain corporate records, statutory registers, and shareholder documentation.


Compliance & Governance

  • Assist in implementing and monitoring compliance frameworks.
  • Coordinate time completion of KYC and due diligence processes.
  • Ensure compliance with regulatory requirements across jurisdictions. Track compliance deadlines and maintain compliance register.


Contracts & Commercial Matters

  • Assist in drafting, reviewing, and tracking commercial agreements.
  • Maintain contract databases and ensure proper version control.
  • Support negotiation processes by preparing documentation and summaries.


Document Control & Administration

  • Manage document control systems for legal and corporate records.
  • Ensure proper filing, archiving, and retrieval of documents.
  • Maintain confidentiality and data integrity at all times.


General Legal & Administrative Support

  • Provide administrative and legal secretarial support.
  • Coordinate meetings, prepare minutes, and follow up on action items.
  • Coordinate all / other routine activities and provide support to the Company management.


Qualification & Experience:

Bachelor’s degree in law (from a common law jurisdiction), commerce, business administration, or a related field. Around 3 years of relevant experience in a paralegal, legal assistant, or corporate affairs role.


Competencies:

Understanding of corporate structures, governance, and compliance frameworks.

Knowledge of company incorporation and licensing procedures (mainland & free zones).

Familiarity with KYC, AML, and regulatory compliance requirements.

Basic legal / contract drafting and review skills.

Legal research and analytical ability.

Document management and control.

Proficiency in Microsoft Office.


Good communication and interpersonal skills.

Organized and detail oriented.

High level of integrity, professionalism, and confidentiality .

Ability to work independently and collaboratively in a fast-paced environment.
