Overview
We are seeking a dynamic and detail-oriented Paralegal specializing in Corporate Business Transactions to join our legal team. Duties
- Assist attorneys with drafting, reviewing, and managing corporate transaction documents such as purchase agreements, merger documents, and confidentiality agreements.
- Conduct comprehensive legal research across various practice areas including securities law, UCC law (Uniform Commercial Code), estate planning, environmental law, tribal law & regulations, patent law, and immigration law to support transactional work.
- Manage and organize legal files using document management systems like iManage and PCLaw, ensuring accuracy and confidentiality.
- Perform document review and due diligence for mergers, acquisitions, and other business transactions to identify potential legal issues.
- Support project management efforts by coordinating deadlines, tracking transaction milestones, and communicating with internal teams and external counsel.
- Draft legal correspondence, summaries, reports, and other documentation with precision and clarity.
- Assist with legal administrative tasks such as data entry, filing, proofreading, transcription, and maintaining case files in Westlaw or LexisNexis databases.
- Conduct interviews with clients or stakeholders to gather pertinent information for transactional matters.
- Provide executive administrative support by scheduling meetings, preparing agendas, and managing communication flow related to corporate transactions.
Qualifications
- Paralegal experience with a strong background in corporate or business law is required.
- Demonstrated knowledge of securities law, UCC law, estate planning, environmental law, tribal law & regulations, patent law, workers’ compensation law, personal injury law, family law, landlord-tenant law, and immigration law is highly desirable.
- Proficiency in legal research tools such as Westlaw and LexisNexis; experience with iManage or PCLaw is a plus.
- Excellent organizational skills with the ability to manage multiple projects simultaneously while maintaining attention to detail.
- Strong writing skills for drafting legal documents and correspondence clearly and professionally.
- Experience with legal case management systems and document review processes.
- Effective interviewing skills combined with professional phone etiquette for client interactions.
- Familiarity with contract management processes and document management systems is preferred.
- Exceptional proofreading skills along with transcription experience are advantageous.
- Ability to handle clerical tasks such as filing, data entry, and administrative support efficiently within a busy law office environment.

Pay: $62,000.00 - $70,000.00 per year
