Role Overview

  • We are seeking a qualified and detail-oriented Company Secretary (CS) to manage secretarial compliance, corporate governance, board operations, and statutory filings.
  • Candidates with experience in the cement or manufacturing sector will be preferred due to the regulatory and operational nature of the industry.

Key Responsibilities

Statutory Compliance & Governance:

  • Ensure compliance with the Companies Act, SEBI regulations, MCA filings, and other statutory requirements.
  • Maintain statutory registers, minutes, resolutions, and corporate records.
  • Manage ROC filings, XBRL filings, annual returns, and event-based compliances.
  • Ensure corporate governance practices in line with regulatory expectations.

Board & Committee Management

  • Organize Board Meetings, AGM/EGM, Committee Meetings and prepare agendas, minutes, notices, and supporting documents.
  • Liaise with board members, auditors, and senior management for smooth governance processes.

Secretarial Support & Documentation

  • Draft resolutions, agreements, and legal documents.
  • Handle share allotment, transfer, bonus, rights issue, and related secretarial activities.
  • Coordinate with legal counsel, auditors, consultants, and government bodies.

Regulatory & Compliance Monitoring

  • Stay updated on evolving laws relevant to manufacturing/cement companies.
  • Manage compliance audits, inspections, and internal control mechanisms.
  • Support company-wide adherence to policies and statutory frameworks.

Key Requirements

  • Qualified Company Secretary (ICSI) - Mandatory.
  • 3-7 years of relevant experience in secretarial and compliance functions.
  • Experience in cement, manufacturing, engineering, or industrial companies preferred.
  • Strong knowledge of Companies Act, SEBI guidelines, FEMA, and corporate governance norms.
  • Excellent drafting, communication, and documentation skills.
  • Ability to work independently, handle deadlines, and coordinate with multiple stakeholders.
