Role Overview

We are seeking a qualified and detail-oriented Company Secretary (CS) to manage secretarial compliance, corporate governance, board operations, and statutory filings.

Candidates with experience in the cement or manufacturing sector will be preferred due to the regulatory and operational nature of the industry.
Key Responsibilities
Statutory Compliance & Governance:

Ensure compliance with the Companies Act, SEBI regulations, MCA filings, and other statutory requirements.

Maintain statutory registers, minutes, resolutions, and corporate records.

Manage ROC filings, XBRL filings, annual returns, and event-based compliances.

Ensure corporate governance practices in line with regulatory expectations.
Board & Committee Management

Organize Board Meetings, AGM/EGM, Committee Meetings and prepare agendas, minutes, notices, and supporting documents.

Liaise with board members, auditors, and senior management for smooth governance processes.
Secretarial Support & Documentation

Draft resolutions, agreements, and legal documents.

Handle share allotment, transfer, bonus, rights issue, and related secretarial activities.

Coordinate with legal counsel, auditors, consultants, and government bodies.
Regulatory & Compliance Monitoring

Stay updated on evolving laws relevant to manufacturing/cement companies.

Manage compliance audits, inspections, and internal control mechanisms.

Support company-wide adherence to policies and statutory frameworks.
Key Requirements

Qualified Company Secretary (ICSI) - Mandatory.

3-7 years of relevant experience in secretarial and compliance functions.

Experience in cement, manufacturing, engineering, or industrial companies preferred.

Strong knowledge of Companies Act, SEBI guidelines, FEMA, and corporate governance norms.

Excellent drafting, communication, and documentation skills.

Ability to work independently, handle deadlines, and coordinate with multiple stakeholders.
