This is a critical strategic role responsible for managing all corporate governance and secretarial functions for the company's governing council. The ideal candidate will possess exceptional expertise in corporate law and governance, with a proven track record of <strong>preparing companies for an Initial Public Offering (IPO)</strong>. You will be instrumental in guiding Bostani through the complex regulatory and administrative processes required to become a publicly listed company, ensuring the highest standards of compliance and corporate conduct are met.<br><br><br><br><strong>Responsibilities</strong><br><br>• Lead and manage all administrative and procedural aspects of the company's IPO readiness programme.<br><br>• Act as the primary point of contact for the council, providing comprehensive support and expert advice on all governance matters.<br><br>• Organise, prepare agendas for, and take minutes of all council and committee meetings, ensuring all action points are followed up.<br><br>• Coordinate with legal advisors, underwriters, regulatory bodies, and other external stakeholders throughout the IPO process.<br><br>• Manage the corporate due diligence process, ensuring all documentation is accurate, complete, and readily available.<br><br>• Develop and implement a robust corporate governance framework that aligns with the requirements for a publicly listed entity in Saudi Arabia.<br><br>• Ensure the company's full compliance with the Saudi Arabian Companies Law, Capital Market Authority (CMA) regulations, and other relevant legal and statutory requirements.<br><br>• Maintain all statutory books, including registers of members, directors, and secretaries.<br><br><br><br><strong>Qualifications</strong><br><br>• Proven experience in a senior corporate secretarial or governance role, such as Company Secretary or Secretary to the Board.<br><br>• <strong>Essential:</strong> Demonstrable, hands-on experience of successfully guiding at least one company through the entire IPO process.<br><br>• In-depth knowledge of corporate law, compliance, and best practices in corporate governance, preferably within Saudi Arabia.<br><br>• Familiarity with the rules and regulations of the Capital Market Authority (CMA) is highly desirable.<br><br>• Exceptional organisational, project management, and problem-solving skills.<br><br>• Meticulous attention to detail and a commitment to accuracy.<br><br>• Outstanding written and verbal communication skills, with the ability to liaise effectively with senior executives and external advisors.<br><br>• A high degree of integrity, professionalism, and the ability to handle confidential information with discretion.<br><br>• A degree in Law, Business Administration, or a related discipline. Staff Camp Management</h3><ul><li>Oversee daily operations of staff camps, ensuring cleanliness, hygiene, and proper living conditions.</li><li>Conduct regular inspections of rooms, common areas, bathrooms, corridors, kitchens, and external areas.</li><li>Monitor and report any issues related to camp facilities, safety, or accommodation standards.</li><li>Coordinate with the Maintenance Department for repair works and follow up until completion.</li></ul><p>&nbsp;</p><h3>2. Cleaning &amp; Housekeeping Supervision</h3><ul><li>Supervise housekeeping staff, cleaners, tea boys, and related support staff.</li><li>Ensure cleaning schedules are followed for:</li><li>Staff camps</li><li>Company corridors</li><li>Bathrooms and common areas</li><li>Offices and shared facilities (as assigned)</li><li>Ensure cleaning materials and tools are properly used and maintained.</li></ul><p>&nbsp;</p><h3>3. Transportation &amp; Bus Operations</h3><ul><li>Coordinate and schedule staff transportation trips between:</li><li>Camp to work</li><li>Work to camp</li><li>Prepare and manage transportation schedules based on operational requirements.</li><li>Supervise bus drivers and ensure adherence to schedules, safety rules, and company policies.</li><li>Report any transportation issues or incidents to the line manager.</li></ul><p>&nbsp;</p><h3>4. Waste Management &amp; General Facilities</h3><ul><li>Manage garbage collection and disposal for camps and assigned company facilities.</li><li>Ensure waste is handled properly and in compliance with health and safety standards.</li><li>Coordinate with cleaning teams to maintain orderly and hygienic environments.</li></ul><p>&nbsp;</p><h3>5. Maintenance Coordination (Non-Technical)</h3><ul><li>Identify and report minor maintenance issues (e.g., lighting, plumbing leaks, doors, fittings).</li><li>Coordinate with the Maintenance Department to follow up and push for timely repairs.</li><li>Handle only normal and minor issues unless instructed otherwise by the Admin Superintendent.</li><li>Major maintenance issues will be reported by relevant departments unless assigned specifically to him.</li></ul><p>&nbsp;</p><h3>6. Furniture, Painting &amp; Assets</h3><ul><li>Supervise painting works for camps and company facilities when assigned.</li><li>Coordinate handling, placement, and condition of furniture in camps and facilities.</li><li>Ensure proper use and storage of furniture and office stationery.</li></ul><p>&nbsp;</p><h3>9.
