The Office of Legislative Counsel is a small office of in-house attorneys and support staff responsible for providing legal services to the Legislature and the Office of Legislative Services.&nbsp;Each Assistant Legislative Counsel holds primary responsibility in specific areas of law or operation in accordance with assigned job duties.&nbsp;Attorneys work collaboratively within the office and in concert with attorneys in the Central Management Unit of OLS to produce all legal opinions issued by the Legislative Counsel.

Reporting to the University Counsel, the Assistant University Counsel &ndash; Transactional will provide legal counsel regarding the University&rsquo;s transactional portfolio, particularly with respect to contracts, real estate, data privacy, research, intellectual property, and regulatory compliance (state and federal).    Conduct in-depth analysis, due diligence, and assessment of potential private investments.

   Manage the end-to-end deal process, including negotiations and deal structuring including communicating with outside counsel and counterparties and co-investors.

   Draft, review and negotiate Non-Disclosure Agreements in connection with the Firm's investment activities.
  </li>
  <li>
   Conduct first-round review of investment-related documents, including partnership agreements, limited liability company agreements, offering memoranda, subscription agreements, investor side letters and other legal documents.
  </li>
  <li>
   Draft clear, business-focused redlines; manage document comparisons and version control; and prepare essential board resolutions, consents, joinders, officer certificates, and signature packets.
  </li>
  <li>
   Collaborate with cross-functional teams&mdash;including investment, finance, operations, and external advisors&mdash;to ensure smooth and effective execution of transactions.
  </li>
  <li>
   Facilitate the investment closing process by coordinating the collection of signatures and necessary deliverables, and ensuring all closing documents are compiled into well-organized, complete files.
  </li>
  <li>
   Create, modify, update, and implement policies, procedures, and guidelines to maintain a current and effective compliance program.
  </li>
  <li>
   Proactively review business activities to identify potential regulatory, compliance, and reputational risks.
  </li>

   Maintain accurate and organized records of investment formation documents and other legal documents/materials.

   Support training and communications to promote a robust culture of compliance.

   Leverage and manage existing technology solutions to fulfill compliance responsibilities.

  QUALIFICATIONS
 </p>

   2nd&ndash;3rd year M&amp;A associate (2-4 years&rsquo; work experience) at a top-ranked law firm, with private equity transactions and transactional exposure.

   Juris Doctor (J.D.) degree from an accredited law school and active bar membership in Illinois.
  </li>
  <li>
   Exposure to transactions in the healthcare and/or national security industry verticals is desirable.
  </li>
  <li>
   Strong written, oral and presentation skills, including experience simplifying complex technical issues for executives.
  </li>

   Strong research, drafting and negotiation skills, with a keen attention to detail.
  </li>

As you become more experienced in your work, you will complete assigned tasks of a routine nature with minimum supervision. A wide variety of legal work is performed including reviewing regulatory investigative reports and making recommendations to supervising counsel relating to the initiation of regulatory enforcement proceedings. Additional responsibilities include:</div><ul><li>
Reviewing gaming and non-gaming employee applications and making recommendations relating to the issuance of permits and registrations under the jurisdiction of the Pennsylvania Gaming Control Board (PGCB or Board)</li><li>
Reviewing Casino Compliance Reports and other PGCB Bureau/Office referrals and making recommendations relating to enforcement actions relating to gaming and non-gaming employees under the jurisdiction of the PGCB</li><li>
Serving as the prosecutor in various non-criminal proceedings, pursuant to the Pennsylvania Race Horse Development and Gaming Act</li><li>
