 We seek a qualified and experienced Commercial Counsel to join our Legal team and provide advice and support to our management and internal clients on various commercial matters and customer-facing transactions. You will work closely with our sales, finance, operations, information security, product management, and business line executives to draft and negotiate contracts and licenses, ensure compliance with data protection laws and regulations, and help us achieve our business goals and objectives.
 
 
 
 In This Role, You Will
 
 
 
 <ul>

 Develop and maintain a solid working knowledge of the company's business, products and services, and industry trends.
 </li>
 <li>
 Advise internal clients on various legal issues pertaining to contracts and licensing, including software licenses, cloud subscriptions, professional services, distributors, resellers, and other technology-related agreements.
 </li>
 <li>
 Lead projects and work with cross-functional teams, including operations, sales enablement, finance, and marketing, to improve internal processes and increase the efficiency and scalability of commercial legal support.
 </li>
 <li>
 Draft, review, and negotiate contracts and licenses with customers, partners, vendors, and other third parties in accordance with the company's policies and procedures.
 </li>
 <li>
 Create and update contract templates and playbooks, oversee their deployment, and train sales personnel and other constituents on their applicability and when to use them.

 <li>
 Advise the business on contract negotiation thresholds, order acceptance issues, and other contract-related points.
 </li>

 Advise on commercial disputes and support escalations.
 </li>

 Work with legal team colleagues responsible for the data protection practice area, as well as other relevant constituents, in the negotiation of BAAs, Data Processing Addenda, and terms relating to data protection and information security practices.

 Understand and support public company controls and procedures.

 Identify and mitigate legal risks and provide proactive and practical solutions to complex and challenging business issues.

 Your Background

 Law degree from a reputable university.
 </li>
 <li>
 Minimum of 5 years of relevant in-house experience as a commercial lawyer, preferably in the technology industry, focusing on software, SaaS, and cloud offerings.

 In-house experience in a fast-paced, business results-oriented, and team-based environment.
 </li>

 Understand complex contractual and business issues, assess risk, and provide concise business-focused legal advice to internal clients.

This role will work closely with our agencies and their clients to facilitate deal-making while protecting our business interests. KEY RESPONSIBILITIES

Commercial Contracting (70%)

<li>Draft, review, and negotiate a high volume of commercial agreements for multiple kyu Pulse entities, including client services agreements, master services agreements, statements of work, vendor contracts, privacy, and partnership agreements</li>
<li>Support deal structuring and risk assessment for complex, multi-jurisdictional client engagements</li>
<li>Collaborate with business development teams to close deals efficiently while maintaining appropriate risk management</li>

REQUIRED SKILLS AND EXPERIENCE

Compensation:

The annual base compensation range for this role is between $190,000 and $215,000. The successful candidate's actual base compensation will be based upon a variety of factors, including but not limited to work experience, job-related knowledge, skills, and professional qualifications. You will also be eligible for an annual target 15% bonus and participation in our long-term incentive program.

Base and bonus compensation are just two components of Industrious' total compensation package for this role.  About The Job
 
 
 
 As an Associate Commercial Counsel on the Global Media Partnerships subteam, you will work on negotiating, drafting and analyzing a wide variety of film, television, and sports digital distribution licenses for YouTube and YouTube TV as part of Google's growing digital media business. You will focus on negotiating and drafting linear television distribution agreements for YouTube TV, including new subscription products related to YouTube TV. You will also include a wide cross section of YouTube transactional and commercial legal work, including marketing, advertising, and other major media agreements in support of YouTube&rsquo;s Global Media Partnerships team. You will counsel business development executives and lead on agreement interpretational issues, including risk analysis and product advertisement.
 
 
 The US base salary range for this full-time position is $210,000-$312,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.  Responsibilities

 Negotiate, draft, and review intellectual property licenses focusing on digital content distribution across YouTube&rsquo;s major media subscription and content offerings (YouTube TV, PrimeTime Channels, Major Media AVOD, TVOD and FAST linear).

 Advise executive management, business clients, as well as finance, product, and other company colleagues on legal issues and risks, agreement structure, negotiation strategy, and company policies and procedures.

 <li>
 Provide Business Development, Strategy, Product Management, and Marketing teams with legal guidance on compliance with applicable license agreements and related contracts, U.S. regulatory matters, and internal approval processes.
