Key Responsibilities:<ul><li>

Build, maintain, and strengthen relationships with national referral partners</li><li>
Monitors firm&rsquo;s cases to ensure that cases are moved to litigation in accordance with deadlines set to ensure SOLs are met.</li><li>
Monitors firm&rsquo;s conflicts check process and policy to ensure compliance with same; performs routine case audits to screen for common conflict scenarios to ensure policy and process are complied with through the life of cases</li><li>
Analyze, evaluate, synthesize, and research case law, statutes, regulations, and rules at the direction of General Counsel or Managing Partner</li><li>
Assists in research and drafting of jurisdiction specific documents</li><li>
Performs legal research as directed by immediate supervisor on professional responsibility and ethics rules by jurisdiction</li><li>

Brief Job Description:

The data governance attorney provides expert legal guidance and support to Texas Health and Human Services (HHS) system agencies on matters related to data governance, compliance, privacy, and information management. This role includes advising on state and federal regulatory compliance, reviewing and advising on data sharing agreements and other contracts, and supporting HHS system policies and initiatives to ensure ethical, legal, and secure data handling practices.

This position is in the Open Records and Data Governance Department of the Legal Services Division within the HHS Office of Chief Counsel. The HHS Office of Chief Counsel and its Legal Services Division provide legal services to the Health and Human Services Commission and the Department of State Health Services. This position would provide legal advice to the Privacy Department in the Office of Chief Counsel.

The attorney would perform moderately complex (journeyman-level) attorney work involving rendering legal advice and counsel, interpreting laws and regulation, overseeing and planning legal activities, and preparing legal documents.

Essential Job Functions:

Position Summary:

ProShares is seeking a talented attorney to join our dynamic team. This is an excellent opportunity for an ETF or mutual fund attorney with 3 or more years of experience to build their skills while working to develop products on the cutting-edge of the ETF Industry. You will have the opportunity to learn from a seasoned team of legal and compliance professionals and work closely with the experts behind innovative products launches like BITO, the first bitcoin linked ETF, and ISPY, the first daily covered call ETF. 


As part of ProShares Legal Team, you will[1]:
<ul>
<li>Lead: Spearhead the preparation of SEC regulatory materials, including registration statements, for our diverse and expanding line-up of ETFs, mutual funds and interval funds.</li>
<li>Innovate: Support the development and launch of industry-leading ETFs by preparing regulatory documents and advising business teams.</li>
<li>Influence: Provide guidance on regulatory and legal issues that impact the firm's ETF, mutual fund and Investment advisory businesses; coordinate with industry trade groups to help shape regulatory outcomes.</li>
<li>Engage: Actively participate in the Board oversight process by preparing memos, resolutions, and minutes.</li>
<li>Negotiate: Negotiate and draft a diverse array of contracts including vendor agreements, license agreements, technology agreements, and derivative contracts.</li></ul> 


Education and Experience:

Experience required to fill this position should include familiarity with mutual funds and mutual fund regulation. ETF, interval fund and commodity pool experience is a plus. Prefer candidates with the following specific requirements:
<ul>
<li>3 or more years of law firm or in-house legal experience with a focus on mutual funds or ETFs.</li>
<li>Knowledge of Investment Company Act of 1940, Investment Advisers Act of 1940, and Securities Act of 1933.</li>
<li>JD degree.</li></ul> 


Knowledge, Skills and Abilities:
<ul>
<li>Ability to balance competing priorities and work independently in a cross-functional team environment.</li>
<li>Outstanding communications, analytical and organizational skills required.</li>
<li>Exceptional writing skills required.</li>
<li>Prior experience with a content management system preferred.</li></ul> 


The compensation for this position includes salary and incentive pay. The annual base salary range for this role is $150,000-$180,000 (USD), which does not include discretionary bonus compensation. Total compensation may vary based on experience, role, location, department, and individual performance.
