ESSENTIAL RESPONSIBILITIES</b></p><p>
The Legal Counsel is expected to work in very close partnership with our current VP Contracts &amp; Compliance. This partnership is intended to share legal and commercial workload appropriately as they partner to provide support and oversight across the whole of AMS Group, Inc.</p><p>
The legal counsel organizationally reports directly to the CEO. It is expected though, that the Legal Counsel will directly support the Chairman and principal owner of AMS Group, Inc. on all legal matters relating to the business or any new business ventures that the Chairman is considering.</p><p><b>
1. Legal Advisory &amp; Counsel:</b></p><ul><li>Provide legal advice and guidance on a wide range of business operations, including corporate governance, employment law, intellectual property, data privacy, and commercial contracts.</li><li>Partner with senior leadership, HR, finance, and other business units to develop and implement legal strategies that align with organizational goals.</li><li>Assist in the interpretation and application of laws, regulations, and industry standards that affect the company.</li></ul><p><b>
2. Contract Drafting &amp; Negotiation:</b></p><ul><li>Draft, review, and negotiate a variety of contracts, including client agreements, vendor contracts, non-disclosure agreements, licensing agreements, joint ventures, and mergers &amp; acquisitions.</li><li>Ensure contracts are legally sound, protect the company&rsquo;s interests, and minimize risk exposure.</li><li>Support business teams in understanding contractual obligations and managing contractual relationships.</li></ul><p><b>
3. Litigation &amp; Dispute Resolution:</b></p><ul><li>Manage and oversee litigation and dispute resolution processes, including collaborating with external counsel when needed.</li><li>Analyze and assess legal risks associated with ongoing or potential litigation or regulatory issues.</li><li>Advise on settlement strategies and risk mitigation.</li></ul><p><b>
4. Compliance &amp; Risk Management:</b></p><ul><li>Monitor changes in laws and regulations to ensure the company is in compliance with all applicable legal requirements.</li><li>Develop and implement internal policies and procedures to mitigate legal and regulatory risks.</li><li>Assist in conducting internal investigations and audits to identify and address potential legal and compliance issues.</li><li>Partner with Risk Management Stakeholders and Finance to review and interpret insurance policies, advise on coverage gaps, and support the handling of insurance claims to protect the company&rsquo;s financial and legal interests.</li></ul><p><b>
5. Corporate Governance:</b></p><ul><li>Provide legal support for corporate governance, including board meetings, shareholder communications, and compliance with corporate formalities.</li><li>Assist in maintaining company records, bylaws, and other corporate documentation.</li><li>Help ensure compliance with public company regulations, if applicable.</li></ul><p><b>
6. Training &amp; Education:</b></p><ul><li>Provide legal training and educational resources to staff on relevant topics such as compliance, data protection, and contract management.</li><li>Promote a culture of legal awareness and risk management within the organization.</li></ul>

The General Counsel position is the Bank&rsquo;s chief legal counsel and key member of the executive leadership team. They are responsible for overseeing and providing strategic guidance on all legal matters for a growing, regional bank. These matters include bank regulatory compliance, corporate litigation, borrower litigation, M&amp;A, contract negotiation, corporate governance, and loan documentation standards. This role is critical in supporting the bank&rsquo;s multi-year strategic initiatives, particularly in commercial lending, M&amp;A and strategic partnerships.<br>
</div><div><b>Essential Duties and Responsibilities</b></div>
<ul><li>Provide comprehensive and strategic legal counsel to the management team and board of directors.</li>
<li>Responsible for effectively managing legal matters or overseeing specialized outside counsel.</li>
<li>Responsible for overseeing all legal aspects of commercial and real estate lending, including revolving lines of credit, term loans, equipment financial, solar loan and lease financing, construction loans, and bridge financing.</li>
<li>Advise on litigation strategy and manage outside counsel for general corporate litigation and borrower litigation/asset recovery cases.</li>
<li>Oversee legal aspects of loan workouts, foreclosures, bankruptcies, and restructurings in coordination with the Special Assets Department.</li>
<li>Monitor and ensure compliance with all federal and state banking regulations, including ECOA, HMDA, FCRA, GLBA, CRA, and BSA/AML.</li>
<li>Draft, review, and negotiate contracts, loan documents, and vendor agreements.</li>

  Position Overview

 </strong>
 We are seeking a detail-oriented and proactive Junior Legal Counsel to join our Legal Department. This role will support a wide range of legal, compliance, and operational matters across the organization. Reporting to the Corporate Counsel, you will work collaboratively with internal stakeholders and outside counsel to help advance Spruce Power&rsquo;s strategic and regulatory objectives.

  Key Responsibilities

 </strong>
 <ul>
  <li>
   Support pre-litigation and active litigation matters, including internal investigations, document preservation, and factual development
  </li>
  <li>
   Draft responses to customer complaints, demand letters, and regulatory notices in coordination with legal leadership
  </li>
  <li>
   Assist with discovery efforts, review pleadings, discovery responses, and deposition transcripts to identify key facts and trends
  </li>
  <li>
   Track litigation deadlines, court filings, and case milestones, and maintain the company&rsquo;s litigation tracker to ensure timely responses and compliance
  </li>
  <li>
   Manage relationships with outside counsel, including coordination on case strategy, reviewing invoices, and monitoring matter budgets
  </li>
  <li>
   Support small claims, arbitration, and mediation matters, including preparing position statements and coordinating evidence submission
  </li>
  <li>
   Conduct legal research on procedural rules, jurisdictional issues, and venue considerations relevant to pending or threatened disputes
  </li>
  <li>
   Coordinate with insurance carriers on notice requirements, coverage inquiries, and claim documentation
  </li>
  <li>
   Assist in drafting, reviewing, and maintaining a variety of commercial agreements, including vendor contracts, customer agreements, NDAs, and amendments
  </li>
  <li>
   Conduct legal research and analysis on issues related to corporate governance, regulatory compliance, and solar energy regulations
  </li>
  <li>
   Support contract lifecycle management by organizing executed documents, tracking key terms and obligations, and contributing to process improvements for recurring legal workflows such as assignments, warranty claims, and system transfers
  </li>
  <li>
   Provide support on compliance matters, including data privacy, contractor licensing requirements, and customer-facing disclosures
  </li>
  <li>
   Assist in developing, implementing, and monitoring internal compliance policies and procedures to ensure adherence to state and federal regulatory requirements
  </li>
  <li>
   Collaborate with internal departments to align legal strategies with business goals and operational needs

  Qualifications
  <br/>
  <br/>
 </strong>
 <ul>
  <li>
   Juris Doctor (J.D.) from an accredited law school and active bar membership
  </li>
  <li>
   1&ndash;3 years of relevant legal experience
  </li>
  <li>
   Litigation or dispute-resolution experience (in-house, law firm, or clerkship) strongly preferred
  </li>
  <li>
   Excellent research, analytical, and written communication skills
  </li>
  <li>
   Ability to manage multiple priorities, meet deadlines, and work collaboratively in a fast-paced environment
  </li>
  <li>
   Interest or experience in the renewable energy sectors is a plus
   <br/>
