The Senior Contracts Manager is Trilogy&rsquo;s senior authority for cradle-to-grave administration of federal prime contracts, subcontracts, and strategic agreements. Reporting to the Chief Financial Officer and working closely with corporate executive leadership, Operations, Finance, Business Development, Capture, Proposal, Pricing, Security, and Delivery, this role protects Trilogy&rsquo;s contractual position, ensures disciplined compliance, and enables timely, low-risk execution from opportunity shaping through contract closeout.
Scope &amp; environment
This is a senior, highly autonomous role operating across Trilogy&rsquo;s federal portfolio as both a prime contractor and subcontractor. The Senior Contracts Manager governs multi-million-dollar agreements spanning firm-fixed-price, time-and-materials/labor-hour, cost-reimbursement, GSA MAS, 8(a), small-business set-aside, full-and-open, IDIQ, BPA, task-order, and negotiated subcontract environments.
The role requires expert judgment, urgency, and the ability to balance business objectives with FAR, DFARS, agency-specific requirements, funding constraints, security obligations, small-business rules, and the operational realities of mission-critical federal programs. The Senior Contracts Manager is expected to identify issues early, present practical options, and operate independently within established authority and escalation thresholds. 
 
What you will do:
Federal Prime Contract Administration and Governance<ul><li>
Lead full lifecycle administration from pre-award review and negotiation through award, kickoff, modifications, funding actions, option exercises, performance, and closeout</li><li>
Interpret solicitations, awards, task orders, contract clauses, statements of work, performance work statements, schedules, deliverables, and special provisions and translate them into clear operating requirements</li><li>
Establish and maintain obligation matrices, notice requirements, deliverable calendars, authority limits, and formal correspondence protocols for each contract</li><li>
Draft and negotiate contract modifications, change orders, extensions, equitable-adjustment support, and other contractual instruments while protecting Trilogy&rsquo;s contractual and business interests, including scope, schedule, fee, data, and intellectual property</li><li>
Prepare timely, accurate communications to Contracting Officers, Contract Specialists, CORs/COTRs, prime contractors, and internal leadership</li><li>
Resolve complex contractual issues at the working level using established authority and escalation thresholds</li></ul>
Subcontract, Teaming, and Strategic Agreement Management<ul><li>
Draft, review, and negotiate Non-Disclosure Agreements, Teaming Agreements, subcontracts, consulting agreements, vendor agreements, and related amendments</li><li>
Support the contractual structuring of joint ventures, contractor teaming arrangements, Mentor-Prot&eacute;g&eacute; relationships, and other strategic alliances in coordination with executive leadership and legal counsel</li><li>
Develop appropriate FAR/DFARS and prime-contract flow-downs, workshare terms, payment provisions, intellectual-property protections, data-rights terms, security obligations, and compliance requirements</li><li>
Oversee subcontractor deliverables, funding, invoicing terms, representations and certifications, insurance, security requirements, and performance obligations</li></ul>
Financial, Funding, and Portfolio Controls<ul><li>
In partnership with Finance and Program Management, proactively monitor contract value, funded value, ceilings, CLIN/SLIN balances, burn rates, backlog, periods of performance, and option dates across the portfolio</li><li>
Administer Limitation of Funds and Limitation of Cost requirements, including advance-warning thresholds, formal notices, and coordination with Program Management and Finance</li><li>
Produce decision-ready 60-, 90-, and 120-day contractual forecasts on an established cadence, addressing funding needs, ceiling risks, option actions, renewals, notice deadlines, and contractual milestones</li><li>
Validate contract and subcontract funding records against internal financial systems and resolve discrepancies before they affect invoicing, staffing, or delivery</li><li>
Partner with Finance, Pricing, and Program leadership on revenue assumptions, fee protection, rate application, invoice requirements, and financial exposure</li><li>
Identify underfunding, overrun, out-of-scope work, unpriced commitments, and expiring authority early and drive corrective action</li></ul>
Compliance, Risk, and OCI Management<ul><li>
Maintain expert working knowledge of the FAR, DFARS, agency supplements, GSA MAS requirements, SBA 8(a) and small-business rules, and applicable federal procurement standards</li><li>
Identify contractual, financial, performance, security, data-rights, intellectual-property, and regulatory risks and maintain actionable mitigation plans</li><li>
Lead Organizational Conflict of Interest identification, disclosure, mitigation, firewall, and monitoring activities for pursuits and active contracts</li><li>
Recommend alternative clauses, negotiation positions, reservations, assumptions, and risk-acceptance options to executive leadership</li><li>
Coordinate with Trilogy&rsquo;s Facility Security Officer, cybersecurity leaders, Finance, Human Resources, and legal counsel on clearance, CUI, privacy, export-control, labor, and mandatory-flow-down obligations</li><li>
Support audit and review readiness for customer, DCMA, DCAA, Inspector General, GSA, SBA, and prime-contractor inquiries as applicable</li><li>

Capture, Proposal, and Pricing Support<ul><li>
Partner with Business Development and Capture leadership to review RFIs, RFPs, RFQs, draft solicitations, task-order requests, and teaming opportunities before bid decisions</li><li>
Develop or validate solicitation compliance matrices, clause and risk matrices, representations and certifications, exceptions, assumptions, and contractual inputs to proposal volumes</li><li>
Advise on contract type, labor-category structures, key-personnel terms, workshare, subcontracting plans, organizational conflicts, data rights, transition requirements, and evaluation risk</li><li>
Support cost and pricing development by validating contractual assumptions, fee structures, escalation, indirect-rate application, funding profiles, and subcontractor terms</li><li>
Participate in Blue, Pink, Red, Green, and Gold Team reviews with emphasis on compliance, commitment control, risk, and consistency across technical, management, and pricing volumes</li><li>

Customer, Partner, and Executive Engagement<ul><li>
Serve as the principal contractual point of contact for Government Contracting Officers, Contract Specialists, CORs/COTRs, other authorized acquisition representatives, prime-contractor representatives, subcontractors, and Trilogy executive leadership</li><li>
Provide concise executive briefings that define the issue, contractual basis, financial and operational impact, available options, recommended action, and decision deadline</li><li>
Lead negotiations to timely closure while protecting Trilogy&rsquo;s contractual and business interests, including scope, fee, funding, schedule, staffing flexibility, and long-term customer relationships</li><li>
Coach program and corporate leaders on contractual authority, notice requirements, change control, documentation, and the prevention of unauthorized commitments</li><li>

Contract Systems, Records, and Process Discipline<ul><li>
Maintain complete, audit-ready prime and subcontract files, including awards, modifications, correspondence, approvals, funding records, deliverables, invoices, and closeout documentation</li><li>
Administer contract data and workflows in Unanet or other enterprise contract-management systems and ensure records remain current and reconciled</li><li>
Maintain a portfolio-level contracts dashboard covering value, funding, ceiling, period of performance, options, deliverables, notices, risks, and pending actions</li><li>
Develop and improve templates, playbooks, checklists, approval workflows, clause libraries, and standard operating procedures that scale with Trilogy&rsquo;s growth</li><li>
Train and advise program managers, capture teams, and corporate staff on contract administration, subcontract management, and federal compliance expectations</li></ul>
Closeout and Continuous Improvement<ul><li>
Lead timely prime and subcontract closeout, including final deliverables, final invoices, property, security, data, releases, records retention, and subcontractor completion actions</li><li>
Confirm that all obligations, claims, funding actions, indirect-rate matters, and customer property issues are resolved before final release</li><li>
Capture lessons learned from negotiations, protests, audits, modifications, disputes, and delivery execution and convert them into improved controls and templates</li><li>
Use portfolio trends and recurring issues to recommend policy, system, staffing, and governance improvements to executive leadership</li></ul>
What you bring:

8+ years of progressive federal government contracts and subcontracts experience, including independent responsibility for complex prime contracts, subcontracts, and strategic agreements</li><li>
Demonstrated cradle-to-grave administration of multi-million-dollar federal prime contracts and subcontracts</li><li>
Direct experience across major contract types, including FFP, T&amp;M/Labor Hour, CPFF, CPAF, IDIQ, BPA, and task-order environments</li><li>
Expert-level knowledge of FAR, DFARS, federal procurement standards, and contract interpretation, with the ability to apply requirements to practical business decisions</li><li>
Proven experience negotiating complex prime-contract, subcontract, teaming, NDA, and strategic-partner terms with government authorities and enterprise-level contractors</li><li>

The successful candidate will oversee a team of contract administrators handling production, development and sustainment contracts, multiple Engineering/Requirements Change Proposals (RCPs/ECPs) and strategic program pursuits inclusive of international FMS proposals/programs. PRIMARY DUTIES AND RESPONSIBILITIES:<ul><li>
Maintain and demonstrate a deep understanding of the U.S. government acquisition and procurement environment, the BAE Systems Contracts function and relevant Company policies and procedures, commercial contracting methods, export, FAR/DFAR, and other government regulations. Acquire a general understanding of the different pricing environments relevant in government contracting.</li><li>
Leads assigned proposal activities including but not limited to analyzing of the solicitation, preparing summaries based on the analysis, with attention to the financial and business risk of the proposed effort, participating in all proposal team meetings, preparing the terms, conditions and assumptions upon which the proposal may be submitted, reviewing the technical and pricing proposals for accuracy and consistency, and preparing proposal documents and submittal to the customer. </li><li>Guide, train and supervise contract administrators who perform all aspects of assigned contract processing including, but not limited to, accuracy of order entry data, contract funding, scope changes, contract amendments, receipts and delivery schedules, legal requirements and other commitments.</li><li>
Support the preparation of various agreements encountered in the business, such as non-disclosure agreements (NDA&rsquo;s), teaming agreements, memorandum of understanding/agreements, strategic alliances and others as the opportunity presents. In some cases, these kinds of agreements will require close coordination with our legal function.</li><li>
Oversees the final stages of assigned contracts by (1) verifying completion of all commitments, and (2) performing assigned activities associated with contract closeout.</li><li>
Compile and maintain all required contractual records and documents in accordance with contract requirements and company policies and procedures. Serve as the official repository for all contractual documentation and correspondence relative to assigned contracts.</li><li>
Act as the primary point of contact between the company and the customer for all contractual matters on assigned contracts and projects including auxiliary agreements such as proprietary information agreements. Draft, prepare, and execute certain internal and external correspondence on contractual matters with increasing levels of autonomy but under the supervision of a Contracts manager, commensurate with experience and demonstrated competence.</li><li>
Develops talent within the Contracts function by training guiding direct reports, providing mentorship and participating in functional initiatives to maintain functional excellence.</li><li>

Bachelor's Degree and 10 years work experience or equivalent experience

Pay Information 
Full-Time Salary Range: $134640 - $228888
