<div><p>The Assistant General Counsel will report to the Associate General Counsel in the Legal Department. The position will provide legal advice and guidance on a wide variety of commercial, contractual, and regulatory legal matters, with a focus on technology transactions and consumer-directed benefit solutions. The ideal incumbent will provide legal advice on a wide variety of specialized areas of law, including but not limited to: ERISA, IRS and DOL regulations, federal healthcare laws, privacy and intellectual property.</p>

</p><ul><li>Structure, draft and negotiate contracts for commercial technology transactions, including (i) SaaS agreements, (ii) API, licensing and subscription agreements, (iii) business development, co-development/co-marketing, and other strategic alliance arrangements, (iv) content, data, software procurement (via inbound licenses or purchases) and other types of inbound licensing and purchase agreements with third party providers, (v) data protection agreements, and (vi) end-user agreement terms.</li>
<li>Work with business clients on contractual and regulatory exposures and risks related to the development of new customer offerings or services and related customer agreement terms, and existing enterprise and individual sales activities.</li>
<li>Provide legal counsel on various corporate, regulatory compliance and intellectual property matters impacting Inspira, including legal trends and issues related to HIPAA compliance, privacy and consumer protection laws, and general federal and state healthcare regulatory schemes.</li>
<li>Provide legal counsel on a full spectrum of corporate, commercial, and regulatory matters including guidance regarding appropriate risk allocation for strategic and core business initiatives.</li>
<li>Coordinate with internal and external resources to provide support, including risk assessment and contract drafting, for data privacy and cyber security matters.</li>
<li>Establish a strong rapport and working relationship with Inspira teams to help drive the delivery of effective and high-quality legal services appropriately linked to the Company's business objectives.</li>
<li>Monitor and proactively communicate legal trends, industry standards and best practices for topics that could affect the Company.</li>
<li>Develop a thorough understanding of, and familiarity with Inspira, and its markets, customers, and competitors, in order to identify trends and formulate structures and strategies accordingly.</li>
<li>Establish a rapport and working relationship with employees at all levels in order to encourage and continue the proactive use of in-house counsel.</li>

The Budget Administration department will serve as a center of excellence within the Client People Tower for the Client. It will serve as the primary liaison with all HR Deputy Chiefs on their respective budget allocations and will provide monthly reporting and will develop HR related RFP's and new contracts within the HR Deputy Chiefs' strategic priorities. This role is to provide critical Financial Analysis/Planning &amp; Project Management support for the department.</p><p>RESPONSIBILITIES <b>Create new budget requisitions for the People Tower Department</b> Reconcile and receive all vendor invoices for payment and provide forecasting and financial planning analysis <b>Responsible for supporting finance and administrative matters, such as working with BSC accounts payable for processing all vendor invoices, creating and managing all requisitions, managing budgets, funding, new needs requests, cost control, and accounting</b> Perform clean up exercises to improve the assignment of general ledger codes for non-labor expenditures, across People responsibility centers (example: remove duplication of office supplies, travel, outside training category expenses &amp; accounts across various R/C's, consolidate budget account across People Tower. <b>Oversees &amp; supports all DCAS related accounts receivable and payables. Review and reconcile expense chargebacks to Client</b> Manage the NYCT Employee Activity Fund Account <b>Oversee &amp; support the implementation and administration of HR's internal financial procedures to ensure quality control in accordance with Transit-wide policies and procedures. 2) Credit Receipts: Assigns account information to receipts, advises the Controller's Office to deposit them and tracks the deposits. 3) Employees Pass Coordination: Processes lost pass application for replacement and handles quarterly pass distribution.</b> Work to remove &amp; close all HR related People Tower Purchase Orders that are Non-Value Added to the business <b>Distribute Monthly KPI Reporting to all Deputy Chiefs &amp; Chief People Officer on their yearly budget allocation &amp; planning</b> Balance &amp; reconcile the People Tower Non-Labor Budget to spend all plan funding in 2025 <b>Provide Deputy Chiefs monthly budget non-labor budget plan &amp; expense reports to enable them assess their units' financial performance</b></p><p>QUALIFICATIONS EXPERIENCE &amp; EDUCATION <b>Bachelor's degree in finance, Accounting and a related field.</b> Demonstrated experience in Budget planning &amp; Oversight activities and managing a full budget plan <b>Strong knowledge of Peoplesoft FSCM (Financial Oversight) capabilities &amp; reporting</b> Strong knowledge of Client's financial requisition &amp; procurement processes <b>Excellent analytical skills with the ability to dissect large amounts of data.</b> Strong communication skills and the ability to effectively convey complex information. <b>Experience in the public sector industry</b> Working extensive knowledge of budget management and financial reporting. <b>Good communication skills to translate business requirements into Dashboards and Reporting</b> Proficient in MS Office applications such as Word, Excel, Visio, PowerPoint, Project, Power BI <b>Excellent oral, written and presentation communication skill in relating technical information to non-technical personnel.</b> Strong analytical and problem-solving skills <b>Ability to effectively prioritize and execute in a high-pressure environment.</b> An ability to independently set priorities and meet deadlines in a fast-paced environment, a self-starter. <b>Excellent interpersonal skills including the ability to work with individuals at all levels of the organization.</b></p><p><b>Required skills:</b></p><ul><li><b>Minimum of 6 Years</b> experience in Finance &amp; Budget Planning oversight activities</li><li>Demonstrated experience in Budget planning &amp; Oversight activities and managing a full budget plan</li><li>Strong knowledge of Peoplesoft FSCM (Financial Oversight) capabilities &amp; reporting</li><li>Strong knowledge of client's financial requisition &amp; procurement processes</li><li>Bachelor's degree in finance, Accounting and or a related field.</li><li>Strong analytical and problem-solving skills</li><li>Experience in Peoplesoft Application FSCM -Financial Reporting</li></ul><p>Pay: $90,000.00 - $100,000.00 per year</p><p>Work Location: Hybrid remote in Hamden, NY 13782</p>
