An IP Counsel is expected to collaborate closely with inventors to identify and develop patentable innovations. The role involves preparing comprehensive applications by drafting detailed patent documents that include precise claims and thorough descriptions while ensuring all necessary information is clearly articulated as per the patent act. The IP Counsel should conduct prior art research to establish the uniqueness of innovations and stay updated on relevant patent laws and practices to ensure compliance with regulatory requirements. This role is responsible for providing comprehensive legal guidance primarily for Kreg&rsquo;s intellectual property portfolio and new assets. In addition to this primary function, the role will provide guidance for Kreg&rsquo;s commercial contracts, employment law compliance, and corporate governance.</p><p>
As a trusted advisor, the Corporate Counsel partners closely with executive leadership and product teams to manage risk, enable innovation, and support ethical and sustainable growth. This position oversees relationships with external counsel and ensures legal practices align with the company&rsquo;s values, culture, and strategic priorities.</p><p><b>

Intellectual Property Leadership (Primary Focus)</b></p><ul><li>
Develop, implement, and manage Kreg&rsquo;s intellectual property portfolio and strategy.</li><li>
Oversee patents, trademarks, copyrights, and trade secrets.</li><li>
Work with engineering, product, and marketing teams to identify and protect innovations.</li><li>
Monitor competitive activity and enforce IP rights as needed.</li><li>
Support licensing, joint development, and technology agreements.</li></ul><p><b>
Employment &amp; Workplace Law</b></p><ul><li>
Advise HR and leadership on employment-related matters:</li><li>
Monitor changes in employment law and advise leadership on implications.</li><li>
Support compliance across U.S. and international operations (including Germany).</li></ul><p><b>
General Legal &amp; Business Support</b></p><ul><li>
Draft, review, and negotiate a wide range of commercial contracts, including:<ul><li>
Vendor and supplier agreements</li><li>
Distribution and licensing agreements</li><li>
NDAs and confidentiality agreements</li><li>
Customer and partnership contracts</li></ul></li><li>
Provide legal guidance on corporate governance, compliance, and risk management.</li><li>

What We&rsquo;re Looking For:</b></p><ul><li>
Juris Doctor (JD) from an accredited law school.</li><li>
Active license to practice law in at least one U.S. jurisdiction.</li><li>
8+ years of progressive legal experience, with significant IP exposure.</li><li>
Demonstrated experience in patent, trademark, and IP portfolio management.</li><li>

About the Position</b></p><p>
The IP Attorney is responsible for a wide range of IP legal matters relating to product development at one or more technology centers. Under the supervision of a Senior IP Counsel, the IP Attorney manages an assigned IP portfolio and develops and maintains the IP strategy for technology development within the assigned areas. The successful candidate will have very strong experience in patent drafting and prosecution, patent portfolio management, patent validity and infringement analyses, and client counseling. The right candidate will be a self-starter with a team attitude and able to perform independently while completing tasks within structured timelines. Strong verbal and written communication skills are necessary, to actively engage with the center engineering team and be a trusted IP legal advisor to the management team.</p><p></p><p><b><br>
Responsibilities</b></p><ul><li>
Review and evaluate SLB and 3rd party patent portfolios to develop knowledge and competency in the assigned technology areas.</li><li>
Review and evaluate new invention disclosures and recommends disposition to management.</li></ul><ul><li>
Supervise outside counsel in the preparation and prosecution of patent applications and manages the corresponding IP docket.</li></ul><ul><li>
Provide IP review and prepare IP reports for technology development projects.</li></ul><ul><li>
Prepare, review and negotiate development, confidentiality and consulting agreements.</li></ul><ul><li>
Plan and conduct brainstorming sessions with technology development team and stakeholders on assigned technology topics.</li></ul><ul><li>
Perform fact gathering and initial analysis for right-to-use, infringement and validity opinions.</li></ul><ul><li>
Train and counsel center employees and managers in IP legal issues and company policies.</li></ul><ul><li>
Assist in maintaining trade secret protection for the center, through appropriate confidentiality agreements, intellectual property agreements with employees and technical publication approval.</li></ul><ul><li>
Direct, supervise and assist outside counsel on legal matters affecting the center.</li><li>
Assist in the development, implementation and update of the IP strategy for the center(s).</li><li>
Monitor the IP activity of competitors and advise the business and legal management team.</li></ul><ul><li>
Juris Doctor degree from an accredited law school; active license to practice law in at least one U.S. jurisdiction.</li></ul><ul><li>
USPTO Registration.</li></ul><ul><li>
Minimum 5 years of experience in practicing patent law.</li></ul>
