 The role is responsible for providing expert level advice on legal issues related to the IsDB&rsquo;s Operations&rsquo; activities in the relevant Region (AFRICA Region/MENA Region/ASIA Region) including public and private sector financings (including Public Private Partnership and non-sovereign guaranteed financing), special and trust funds, contract management, government regulations, contractual agreements, by proactively identifying related legal risks and putting appropriate mitigation measures in place. The role represents the Bank in complex legal issues and supervises, coordinates and reviews the work of the team members in the section.

   Interpret laws, rulings and regulations and provide expert legal advice and technical guidance to the Bank&rsquo;s operations units in relation to public sector transactions, operations&rsquo; policies and operations procurement, private-sector and other non-sovereign transactions, funds and funds management, mobilization and management of the financial resources of the bank.

   Coordinate with the Shariah Unit of the bank to ensure that all legal documents and in compliance with Shariah.

   Provide technical advice to the business units operating in the relevant Region (AFRICA Region/MENA Region/ASIA Region) on products, modes of financing and investment agreements and arrangements, including the review of legal opinions and other legal documents submitted in fulfillment of financing conditions, review/clearance of tendering/contract documents, clearance of disbursement requests, advising on payment schedules, default in payment obligations, ongoing and potential suspension of disbursements and other sanctions and on other ongoing/potential legal proceedings.

   Serve as adviser to the business units operating in the relevant Region (AFRICA Region/MENA Region/ASIA Region) on issues of governance, legal risk management, growth, policy implementation, internal and external communications relating to complex matters, strategic planning and execution, and special projects.

   Negotiate, review, and approve all legal documents and agreements related to the bank&rsquo;s operations in the relevant Region (AFRICA Region/MENA Region/ASIA Region) (i.e. agreements for the establishment of special funds and trust funds in the bank, procurement of various services necessary for the support of the operations of the Bank and the related corporate activities).

 The role holder reports to and assists the Head of Legal Operations and is responsible to handle legal matters assigned by Associate General Counsel &ndash; Legal Operations in providing quality legal services to clients (QAFCO&rsquo;s management including QAFCO&rsquo;s affiliates) in an effective and professional manner as may be required for the purpose of smooth running of legal operations with specific job description as explained below.

  Key Accountabilities

  <li>
   Assist the company, particularly the Supply Chain Department and Commercial Division, in providing advice, drafting and negotiating, from legal perspective, the company&rsquo;s tender documents, contract terms and conditions, and other supporting documents related to the company&rsquo;s procurement activities (for services, purchase of goods, construction, project, IT, property lease, etc) to ensure that the company is protected in accordance with the company's interest, policies and procedures.
  </li>
  <li>
   Provide mentoring to the members of the Legal Department, and training for relevant departments/divisions personnel or contractors/suppliers of the company&rsquo;s contract terms &amp; conditions.
  </li>
  <li>
   Conduct legal research and issuing legal opinions.
  </li>
  <li>
   Handle legal disputes (contractual, 3rd parties, employment, tax) including managing litigation.
  </li>
  <li>
   Handle legal matters related to merger, acquisition, joint venture, dissolution of company and its affiliates.
  </li>
  <li>
   Handle confidentiality, non-disclosure agreement, etc.
  </li>
  <li>
   Handle matters related intellectual property right, trademark, copyright of QAFCO and affiliate.
  </li>
  <li>
   Manage corporate documentation (Articles of Associations, shareholder agreements, key agreements, approvals, registrations etc)
  </li>

   Assist Legal Department in building legal digitalization and AI utilization
  </li>

   Assist the company on other legal matters as requested by the General Counsel.

The Legal Operations &amp; Risk Analyst supports the Legal department in the administration of contracts and risk management matters. Assists in drafting and reviewing contracts and facilitates their internal review and approval, while serving as the principal liaison between Legal and the various business units. Provides support for attorneys in drafting legal documents and regulatory compliance (FCPA) matters, assists with technical aspects of e-discovery, and provides administrative support for the department in key areas. This position is also responsible for obtaining data for insurance policy quotes and renewals and assists in processing insurance claims. This role also assists with requests from internal clients and third parties regarding our insurance program and requirements; and is responsible for issuing and reviewing Certificates of Insurance.

Minimum Qualifications:
<ul><li>Associate degree in legal or paralegal studies or equivalent years of related work experience; Bachelor&rsquo;s degree a plus</li><li>
