Job Title: Senior Corporate Legal Counsel

Job Summary:

We are seeking a highly skilled and experienced Senior Corporate Legal Counsel to join our dynamic legal team. The ideal candidate will have a strong background in corporate law, regulatory compliance, contract management, M&A, and legal advisory within corporate environments. This role demands strategic legal insight, sound judgment, and the ability to operate independently on complex legal matters affecting the organization.

Key Responsibilities:

  • Corporate Governance:
  • Advise on board matters, shareholder agreements, and statutory compliance.
  • Draft, review, and maintain company policies and resolutions.
  • Contract Management:
  • Draft, review, negotiate, and finalize a wide range of commercial contracts (NDAs, vendor contracts, service agreements, JV agreements, etc.).
  • Monitor contractual obligations and ensure compliance.
  • Legal Advisory:
  • Provide legal support and strategic advice to senior management and business units.
  • Proactively identify legal risks and propose mitigation strategies.
  • Mergers & Acquisitions:
  • Lead or support legal due diligence, structuring, documentation, and post-transaction compliance for M&A and joint ventures.
  • Regulatory Compliance:
  • Ensure compliance with all applicable laws and regulations (Companies Act, SEBI, FEMA, etc.).
  • Liaise with external counsels, regulators, and government bodies as required.
  • Dispute Resolution & Litigation:
  • Manage and coordinate litigation, arbitration, and legal notices.
  • Collaborate with external legal advisors on ongoing legal matters.
  • Team Management:
  • Lead and mentor junior legal team members, if applicable.
  • Coordinate cross-functional initiatives with HR, finance, and other departments.

Qualifications & Experience:

  • LL.B. or LL.M. from a reputed institution.
  • 6–15 years of relevant legal experience in corporate legal departments or top law firms.
  • Strong knowledge of Indian corporate, commercial, and regulatory laws.
  • Experience in handling complex contract negotiations, M&A, and regulatory matters.
  • Excellent drafting, negotiation, and communication skills.
  • Strong analytical, problem-solving, and leadership capabilities.
  • Ability to manage multiple priorities in a fast-paced environment.
