Senior Legal Advisor – Construction Disputes (Saudi)

About the Role

We are seeking an experienced Senior Legal Advisor (PPP & Investments) to join its Legal and Compliance Department in Riyadh.

The ideal candidate will have 6+ years of experience working in the projects, infrastructure, or investment sectors, either in a top-tier law firm or within a reputable in-house legal team. This role is ideal for a professional who is comfortable leading complex project negotiations, managing PPP structures, and advising on high-value investment transactions within Saudi Arabia and internationally.

Key Responsibilities

  • Draft, review, and negotiate a wide range of legal documents including contracts, MoUs, JDAs, EPC/O&M agreements, and project documentation.
  • Lead JDA discussions and negotiations from a legal standpoint with partners, contractors, and clients.
  • Coordinate with external local and international counsel on all project documentation, legal due diligence, and company incorporation matters related to PPP and construction projects.
  • Lead negotiations and reviews of EPC/O&M term sheets and related project documentation.
  • Support the commercial and business development teams in all project-related legal discussions and transactions.
  • Lead legal aspects of financing negotiations, including coordination with sponsors’ and lenders’ counsels.
  • Prepare risk matrices for internal committees in collaboration with commercial and BD teams.
  • Review advisory engagements, NDAs, MoUs, and similar agreements received from third parties.
  • Advise on M&A transactions, including drafting and negotiating SPAs, SHAs, and related deal documentation.
  • Oversee litigation management (if applicable) in coordination with external counsel.
  • Support legal aspects of financing, security creation, and perfection documentation.
  • Provide legal advice on operational and compliance matters.
  • Maintain well-organized and up-to-date legal records and documentation.
  • Prepare reports, memos, and presentations for senior management.
  • Support and advise on all legal matters assigned by the GCLCO.

Qualifications

Education & Certification

  • Bachelor’s degree in Law (LL.B.) from a recognized university.
  • Postgraduate legal education (LL.M. or equivalent) from a reputable foreign university preferred.

Experience

  • Minimum 6 years of relevant legal experience in the projects, infrastructure, or investment sectors.
  • Proven experience with PPP projects, non-recourse financing, EPC/O&M contracts, and cross-border transactions.
  • Prior experience within the GCC or other international regimes is strongly preferred.

Required Skills

  • Strong knowledge of construction law, contract law, PPP frameworks, and Saudi labour and regulatory laws.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to analyze complex legal issues and provide practical, business-focused solutions.
  • Highly organized with exceptional time management skills.
  • Strong interpersonal skills with the ability to work independently and collaboratively.
  • Bilingual proficiency (Arabic and English) preferred but not mandatory.

Additional Information

  • This is not an administrative or clerical position.
  • Remote work is not permitted; the role is office-based in Riyadh.
  • Preference will be given to candidates with prior PPP, infrastructure, and investment experience, particularly within Saudi Arabia or the GCC region.

Job Type: Full-time

Pay: ﷼35,000.00 - ﷼40,000.00 per month
