Role Description:
The Senior Legal Counsel will serve as a key legal partner to DEEP, providing strategic and practical guidance on a broad range of corporate and commercial matters. This role will involve drafting, reviewing, and negotiating contracts. Particularly vendor and commercial agreements, while ensuring compliance with applicable laws and alignment with organizational objectives.
This role will collaborate across departments to mitigate legal risk, support business operations, and contribute to the company’s overall governance and compliance framework.
Essential Responsibilities:

Draft, review, and negotiate a wide variety of contracts, including vendor, service, nondisclosure, and licensing agreements.

Negotiation of manufacturing agreements, supply chain agreements, supply of goods and services agreements, and associated legal clearance, contract management.

General commercial compliance including data protection, modern slavery, anti-bribery, etc.,

Provide legal advice and guidance on general corporate matters, ensuring compliance with applicable laws and regulations.

Identify, assess, and mitigate legal risks in commercial transactions.

Collaborate with internal departments (Procurement, Finance, HR, Operations, etc.) to support business initiatives and ensure contracts align with company objectives.

Develop and maintain standardized contract templates, policies, and best to streamline the contract process.

Assist with corporate governance matters, including maintaining corporate records, drafting board materials, and ensuring compliance with reporting obligations.

Stay current on relevant laws, regulations, and industry trends affecting the business.

Manage outside counsel as needed for specialized matters.
Knowledge, skills, and abilities:

Strong understanding of corporate and commercial law, with emphasis on contract law.

Must have good understanding of U.S Marine law, public procurement laws and compliance.

Basic understanding of property law.

Familiarity with vendor, procurement, and service agreements.

Awareness of evolving legal and regulatory frameworks impacting business operations.

Excellent legal drafting and contract negational skills with high attention to details.

Ability to work independently, manage multiple projects, and provide practical, business-oriented solutions.

High level of integrity, judgment, and discretion in handling sensitive matters.

Proficient and knowledgeable in computer applications and systems such as Microsoft Office.
Minimum Qualifications:

Juris Doctor (JD) from an accredited law school; active member in good standing with Florida Bar.

Minimum 8 years of experience practice law, ideally coming from from marine, engineering or defense sector

Strong background in contract drafting, negotiation, and vendor agreements.

Experience advising on general corporate law matters.

Salary: $180,000.00 - $250,000.00 USD based on experience
