Conduct in-depth legal research and analysis and prepare briefs on legal and regulatory issues in countries where the business is operating for submission to the General Counsel and/or management

Establish legal entities and maintain existing company’s renewal of licenses and statutory filings with relevant government agencies

Manage the day-to-day corporate matters of the organizations’ entities, including the convening of board of director, general meetings or supervisory bodies as well as drafting all related documentation.

Review, draft and negotiate a wide range of legal/commercial agreements, facility agreements, development agreements, sales of property/land, hotel management agreements, and design and construction contracts (including FIDIC forms of agreement)

Manage pre-litigation and dispute resolution strategies at early stages of dispute, including by negotiating and drafting settlement agreements.

Anticipate and mitigate potential legal problems within the business and develop strategies to avoid costly litigation and reduce potential areas of risk.

Managing external lawyers or law firms and ensure that the company is adequately represented at any administrative hearing or judicial proceedings.

Perform due diligence in legal matters relating to contracts, agreements and mergers and acquisitions and land acquisitions.

Proactive identification of legal issues and / or risks affecting the business of organization for management considerations and providing appropriate risk mitigation strategies.

Represent the organization when dealing with government issues

Devise and review internal governance policies and regularly monitor compliance.
Required Qualifications:
-
Bachelor’s Degree in Law
-
Master’s Degree an asset
Preferred Experience:
-
8-10 years of experience in real estate development and general legal experience in corporate/commercial fields in one of the leading international law firms or multinational companies
-
Significant experience of development work and real estate finance transactions is preferred
-
A strong grasp of key real estate principles, contracts, issues and structures is preferred.
