Job Purpose
Provide comprehensive legal advice and support to Aurora Prime Investment’s senior leadership and subsidiaries to ensure compliance with applicable laws and regulations, manage legal risks across investment and corporate activities, and support transactional, regulatory, and governance matters. The role requires commercial judgment, strong drafting and negotiation skills, and the ability to manage external counsel and cross‑functional stakeholders.
Key Responsibilities
- Advise senior management and the board on corporate, commercial, regulatory and contractual matters relevant to the firm’s investment activities and corporate operations.
- Draft, review and negotiate a wide range of commercial and transactional documentation, including investment agreements, shareholder agreements, service contracts, NDAs and related documents.
- Support corporate governance activities, including preparation of board and shareholder meeting materials, minute‑taking, statutory filings and maintenance of corporate records and registers.
- Conduct legal due diligence for transactions and investments; prepare legal risk assessments and recommend remediation measures to mitigate identified risks.
- Manage regulatory compliance matters: monitor changes in relevant laws and regulations, advise on their operational impact and assist with implementation of practical compliance measures in coordination with internal stakeholders.
- Coordinate and instruct external counsel on litigation, arbitration and regulatory investigations; oversee external legal budgets, deliverables and timelines.
- Provide day‑to‑day legal support on employment, commercial disputes, real estate, intellectual property, data protection and other corporate matters as they arise.
- Maintain organized legal files, precedents and templates; develop and update standard form agreements, playbooks and internal legal policies.
- Deliver clear, actionable, commercially focused legal advice that balances risk mitigation with business objectives.
Qualifications & Requirements
- Qualified lawyer with an LLB, LLM or equivalent law degree and admission to practice in a recognized jurisdiction.
- Minimum 5 years post‑qualification experience in corporate/commercial law, preferably within investment, funds, banking or corporate practice.
- Practical experience and familiarity with UAE and GCC legal and regulatory frameworks is preferred.
- Proven experience drafting and negotiating complex commercial and transactional agreements.
- Experience managing external counsel and overseeing dispute resolution or regulatory matters.
- Excellent written and verbal communication skills in English; knowledge of Arabic is an advantage.
- High level of integrity, discretion and ability to handle confidential information.
- Proficiency with standard office software; experience with legal document management systems is an advantage.
