About This Product Surface
B2B deals are broken. Not the deals themselves — the infrastructure around them. Due diligence data rooms are glorified file folders. Board governance runs on email threads and PDFs. Legal counsel spends hours on document review that should take minutes. Term sheet negotiation happens in disconnected tools that leave no verified audit trail. And when a deal closes, the institutional knowledge of how it got done evaporates.
ChainIT is building the next generation of deal and legal intelligence infrastructure: secure, zero-trust environments for sensitive document exchange; verified governance workflows for boards and corporate officers; and AI-augmented tooling for legal practitioners that turns contract review, matter management, and deal structuring from high-friction work into high-leverage work.
This PM will own the product surface that spans all three: the deal room, the governance layer, and the legal intelligence engine. These are not separate products bolted together — they are interconnected layers of the same verified deal lifecycle. The candidate who will thrive here understands how a board resolution connects to a term sheet, how a term sheet connects to a data room access policy, and how all of it connects to the legal record.
The Paradigm Shift: Why Existing Tools Are Insufficient
The current generation of deal and legal tools was not designed for the complexity of modern B2B transactions. They were designed for a simpler world of static documents and bilateral agreements. Consider what they cannot do:
- They cannot verify that the counterparty accessing a data room is who they claim to be — ChainIT's zero-trust identity layer binds every access event to a cryptographically verified organizational identity
- They cannot connect governance decisions — board resolutions, officer authorizations, committee approvals — to the deal documents those decisions govern, creating an unbroken chain from authorization to execution
- They cannot surface legal risk intelligently across a document corpus — they store and retrieve; they do not analyze, flag, or reason
- They cannot maintain a verified, tamper-evident record of who saw what, when, and under what authorization — the audit trail enterprise legal and compliance teams require is an afterthought, not an architecture
- They cannot treat a deal as a lifecycle — from initial NDA through due diligence, term sheet, board approval, closing, and post-close obligations — in a single verified environment
This is not a features race. It is a category redefinition. The question is not how to build a better data room or a smarter contract tool. It is how to build the verified deal operating system that makes those categories obsolete.
Role Overview
As Senior PM for ChainIT's deal and legal intelligence surface, you will own the product roadmap across secure deal environments, corporate governance workflows, and AI-augmented legal practitioner tooling. You will work at the intersection of enterprise software, legal domain expertise, and zero-trust identity infrastructure — translating complex, high-stakes user needs into precise product specs that agentic development teams can execute without ambiguity.
This is a role for someone who has sat close enough to B2B deals, boardrooms, or legal matters to understand the actual friction — not just the category descriptions. You know what a managing partner actually needs from a data room. You know why general counsel distrusts software that can't produce a clean audit trail. You know the difference between what a board needs to govern well and what most governance tools actually deliver.
What You'll Do
Product Strategy & Roadmap
- Own and maintain a prioritized, outcome-driven product roadmap spanning secure deal environments, corporate governance, and legal intelligence tooling
- Define the strategic narrative that positions ChainIT's deal and legal surface as a category replacement for fragmented, legacy tooling across the deal lifecycle
- Partner with executive stakeholders to align roadmap investments with revenue, retention, and market displacement goals
- Maintain a clear sequencing logic across three interconnected product areas — knowing which capabilities unlock the others and in what order
Discovery & Domain Insight
- Lead continuous discovery with the practitioners who live inside deals: M&A counsel, in-house general counsel, investment bankers, private equity associates, corporate secretaries, and board administrators
- Develop a ground-level understanding of how high-stakes B2B transactions actually flow — from NDA and data room setup through due diligence, negotiation, board authorization, closing, and post-close obligations
- Build and maintain a competitive intelligence practice covering Datasite, Intralinks, Ansarada, Diligent, Boardvantage, ContractPodAi, Ironclad, and the broader legal tech landscape
- Surface the workflow gaps and compliance obligations that enterprise legal and governance buyers treat as non-negotiable, and build them into product requirements before they become objections
Agentic Execution & Delivery
- Author and maintain the full five-layer artifact set that drives ChainIT's agentic development model: Strategic Outcomes, Capabilities, Risk Gates, Intent Specs, and Iteration docs — precision-engineered specs designed for direct agentic developer handoff
- Write Intent Specs with the rigor that agentic execution demands — unambiguous invariants, binary-checkable Risk Gates, explicit agent hand-off sections, and zero open questions before a capability is declared ready to build
- Manage iteration planning and sequencing across the deal and legal product surface, maintaining traceability from every Intent Spec through its Capability to its Strategic Outcome
- Drive trade-off decisions and prioritization with Engineering, Design, and cross-functional stakeholders — knowing when to hold the line on scope and when to adapt
- Define and monitor KPIs for shipped capabilities; close the feedback loop between agentic delivery and product outcomes
Deal Lifecycle Domain Leadership
- Serve as the internal expert on how high-value B2B transactions are structured, negotiated, and closed — including the roles, responsibilities, and information needs of each party at each stage
- Drive product decisions that reflect the realities of due diligence: what information buyers need, how sellers control access, and what the legal record of that exchange must look like
- Guide the product's treatment of deal-critical document types: NDAs, term sheets, LOIs, purchase agreements, disclosure schedules, board resolutions, and post-close deliverables
- Ensure product decisions account for the multi-jurisdictional legal landscape that enterprise deals operate in — domestic and cross-border, public and private, regulated and unregulated sectors
Corporate Governance Domain Leadership
- Own the product vision for how ChainIT serves boards, corporate officers, and governance professionals — from board meeting management and resolution workflows to officer authorization chains and fiduciary documentation
- Understand the governance obligations that drive buying decisions: SEC disclosure requirements, Sarbanes-Oxley controls, Delaware corporate law, and the fiduciary duties that make a poor audit trail a legal liability
- Design governance workflows that are not just compliant but defensible — every authorization verified, every decision traceable, every document access logged to a cryptographically bound identity
Legal Intelligence Domain Leadership
- Drive the product vision for AI-augmented legal practitioner tooling — contract analysis, clause extraction, risk flagging, matter management, and the practitioner workflows that currently consume disproportionate attorney time
- Work closely with legal practitioner users — attorneys, paralegals, legal ops professionals — to understand where AI augmentation creates genuine leverage versus where it introduces risk that practitioners won't accept
- Navigate the professional responsibility considerations that shape what legal AI products can and cannot do: unauthorized practice of law boundaries, attorney-client privilege implications, and bar association guidance on AI tool use
- Define quality standards for legal AI outputs that meet the bar legal professionals require — not just accurate on average, but reliable enough that an attorney will stake their professional judgment on it
Zero-Trust & Compliance Architecture
- Champion zero-trust principles across all product decisions — every access event verified, every state transition auditable, every document interaction bound to a confirmed organizational identity
- Work with Engineering and Security to define access control models, permission hierarchies, and audit trail requirements appropriate to the sensitivity of deal and legal data
- Ensure product design accounts for the data residency, retention, and destruction requirements that enterprise legal and compliance buyers enforce
Go-to-Market & Enablement
- Collaborate with Marketing and Sales on positioning and messaging that speaks fluently to legal, M&A, and governance buyers — audiences who are skeptical of vendor claims and require technical precision
- Create enablement materials and lead training for Sales, Solutions Engineering, and Customer Success on deal and legal domain differentiation
- Represent ChainIT in prospect conversations, customer advisory boards, legal tech industry events, and analyst briefings
What We're Looking For
Core Product Management Experience
- 5+ years of product management experience in enterprise B2B software
- Demonstrated ability to manage complex, multi-stakeholder roadmaps across interconnected product areas
- Experience with agentic or spec-driven development workflows — writing structured specs, intent documents, or capability definitions that hand off to autonomous development agents rather than traditional sprint backlogs
- Comfort operating without traditional agile ceremony scaffolding — you define outcomes and invariants precisely enough that execution proceeds without constant PM involvement in implementation detail
- Excellent written and verbal communication skills — able to present to C-suite and write technical specs with equal clarity; in our model, spec quality is directly correlated with delivery quality
- Experience with product analytics tools (e.g., Mixpanel, Amplitude, Looker) and data-informed decision-making
- Proven track record of shipping products into regulated or high-compliance enterprise environments
B2B Deal & Transaction Domain Expertise
- 3+ years of direct exposure to high-value B2B transaction workflows — M&A, private equity, venture capital, investment banking, corporate development, or enterprise commercial deals
- Working understanding of the due diligence process: what information is exchanged, how access is controlled, what the legal record of that exchange must include, and where the process most commonly breaks down
- Familiarity with deal-critical document types and their legal function: NDAs, term sheets, letters of intent, definitive agreements, disclosure schedules, closing conditions, and representations and warranties
- Understanding of how deal structure — asset vs. stock, merger vs. acquisition, cross-border considerations — affects information requirements and process workflow
- Awareness of the regulatory environment that governs high-value transactions: HSR/antitrust requirements, SEC disclosure obligations, CFIUS considerations, and cross-border deal clearances
Corporate Governance Domain Expertise
- Understanding of corporate governance structures and the workflows they generate: board meetings, committee sessions, officer authorizations, written consents, and the documentation obligations attached to each
- Familiarity with the legal framework governing corporate governance: Delaware General Corporation Law, SEC proxy rules, Sarbanes-Oxley internal controls, and the fiduciary duties of directors and officers
- Appreciation for why audit trail quality is not a feature preference but a legal and fiduciary requirement — and how that shapes what enterprise governance buyers will and won't accept
- Awareness of the governance software landscape and what boards, corporate secretaries, and CLOs actually need versus what current tools deliver
Legal Domain Fluency
- Enough legal domain fluency to work productively with attorney users, understand their workflows, and earn their confidence — not as a lawyer, but as a product builder who understands what the work actually requires
- Familiarity with the structure of legal practice: how matters are organized, how document review works, what contract analysis entails, and how legal ops functions within enterprise organizations
- Awareness of the professional responsibility constraints that shape legal AI products: unauthorized practice of law boundaries, privilege considerations, and the bar association guidance that cautious GCs will cite
- Understanding of how enterprise legal departments buy software: long evaluation cycles, heavy security review, GC sign-off, and the specific objections (data security, privilege, liability) that kill deals
Enterprise Software & Security Acumen
- Experience building products that integrate into complex enterprise environments: document management systems, identity providers, ERP, and legal practice management platforms
- Understanding of enterprise security and compliance buying criteria: SOC 2 Type II, ISO 27001, data residency, and the specific concerns that legal and financial data buyers raise
- Familiarity with zero-trust security principles and their application to access control, identity verification, and audit logging in high-sensitivity environments
- Ability to navigate multi-stakeholder enterprise deals — balancing IT, Legal, Compliance, Finance, and end-user needs across a buying committee that rarely agrees
Bonus Points
- Experience with agentic development tooling — Claude, Cursor, Devin, or similar — and a genuine understanding of how AI-native dev workflows change the PM's role from backlog manager to spec architect
- JD, paralegal certification, or direct experience practicing law or working in a law firm environment
