About the Role
We are seeking a Senior Transaction Structuring & Tax Optimization Lead to design and implement tax‑efficient structures for corporate transactions, investments, and group reorganizations. In this role, you will lead the tax‑structuring workstream for mergers & acquisitions (M&A), divestitures, joint ventures, financing, and cross‑border investments, while ensuring commercial feasibility, regulatory compliance, and value creation for the client or organization.
Key Responsibilities
- Lead the tax and financial structuring of complex transactions (M&A, JVs, restructurings, IPOs, fund formations, and cross‑border investments), identifying optimal structures from a tax, regulatory, and commercial perspective.
- Analyze tax implications (income, indirect, transfer pricing, withholding, treaty, etc.) of proposed deals and model tax‑efficient financing and holding‑company architectures.
- Coordinate with legal, finance, and investment teams and external advisors to ensure that transaction documents, financing agreements, and corporate structures align with tax‑planning objectives.
- Identify tax‑planning opportunities and risks during due diligence and advise on pre‑transaction reorganisations, group restructurings, and post‑deal integration.
- Provide practical, implementation‑focused advice to senior management, business units, and external stakeholders on tax‑efficient ways to execute strategic initiatives.
- Ensure compliance with local tax laws (e.g., Oman corporate tax), transfer‑pricing rules, AML/KYC, and international tax standards, including OECD‑related guidance where relevant.
- Prepare and present technical and commercial summary reports on alternative structures, including quantitative impact assessments (NPV, effective tax rate, cash‑tax implications).
- Mentor and guide junior tax and transaction‑structuring professionals, supervising work quality and professional development.
Required Qualifications and Skills
- Bachelor’s degree in Finance, Tax, Accounting, Law, or a related field; master’s degree or professional qualification (e.g., CPA, ACCA, CA, CFA, CT, or equivalent) strongly preferred.
- Typically 8–12+ years of experience in transaction tax, M&A, corporate finance, or deal advisory, with 3–5 years at a senior‑lead or manager/director level.
- Strong experience in transaction structuring, M&A tax, group reorganizations, and cross‑border investment structures.
- Deep understanding of corporate income tax, withholding tax, transfer pricing, treaties, and indirect‑tax concepts; familiarity with Oman corporate tax and GCC‑region tax regimes is a plus.
- Proficiency in financial modeling, tax‑impact analysis, and scenario testing (Excel, financial‑modeling tools).
- Excellent communication, negotiation, and stakeholder‑management skills, with the ability to present complex tax and structuring concepts to non‑tax executives.
