Job Summary:
Primarily responsible for providing contract review, interpretation, and explanation of contractual language and related legal policies, and the drafting, review, and negotiation of Froedtert ThedaCare Health, Inc. (FTCH) system contracts, with an emphasis on supply chain (equipment and supplies), information technology (IT), non-clinical vendor services, etc. for FTCH internal contract stakeholders and other organization leaders, consistent with the FTCH mission, vision, and guiding principles, and in close collaboration with the Associate General Counsel – Contracting and other FTCH Office of General Counsel (OGC) members.
Job Responsibilities:

Provides contract interpretation, drafting, review and execution of system contracts, assessing appropriate legal and compliance requirements as well as inherent risks.

Reviews, interprets, and negotiates contract language revisions to ensure compliance with policy and language standards as established by system’s contract policy(s) and alignment with needs and issues identified by the system.

Assists in developing and maintaining standard contract terms that address system and regulatory requirements.

Assists in the preparation of contract policies and procedures and template agreements for recurring contract situations. Develops, interprets, or implements contract policies or practices.

Responds to concerns and facilitates problem resolution between vendors and team members to support compliance with contract policies and practices while maintaining positive and respectful relationships.

Coordinates and maintains contract communication and educational forums to ensure timely review and delivery of contractual information, updates, and education to the OGC, functional groups and other departments within the system.

Collaborates with internal and external contact stakeholders, as well as outside counsel on contract review and engagement.

Prepares varied and complex legal documents, as assigned.

Provides accurate, relevant and timely advice to internal contract stakeholders and other organization leaders with respect to the enterprise contracts for which they are responsible.

Supervises matters that are referred to outside counsel within scope of responsibility. Monitors activities and billings of outside legal counsel to budget and assists in the development of policies and processes to assist in the reduction of outside legal expenses.

Assists in building and improving processes and confirming disciplined execution of systems to enhance the efficiency and effectiveness of the OGC contracting function.

Stays up to date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect the health care industry.
EXPERIENCE DESCRIPTION:
A minimum of 1-3 year of relevant contracting experience preferred, but recent law school graduate with contracting internship experience will be considered.
EDUCATION DESCRIPTION:
Juris Doctorate (JD) from an accredited law school is required.
SPECIAL SKILLS DESCRIPTION:
Excellent oral and writing communication and interpersonal skills. Excellent legal research, with a strong attention to detail. Ability to work independently and as part of a team. Demonstrated ability to manage a range of legal matters. Ability to translate complex legal concepts into actionable advice for the business teams. Self-starter capable of working independently and seeking direction as needed. Ability to work under pressure, prioritize responsibilities, and meet deadlines will be necessary. Commitment, value, excellence, and professional development. Proficiency in legal software and Microsoft Office Suite. Experience with contract lifecycle management software preferred.
LICENSURE DESCRIPTION:
Licensed to practice law as in-house counsel and in good standing in the State of Wisconsin or be eligible to seek admission to practice in Wisconsin upon hire is required.
