Transactional Counsel / Legal Consultant

SMK Global is seeking a highly driven ''Transactional Counsel / Legal Consultant'' to join our growing team in the United States. This role is ideal for a legal professional who thrives in dynamic corporate environments and enjoys managing sophisticated business transactions while also overseeing Human Resources and corporate affairs. You will play a key role in developing efficient and transparent legal frameworks that drive sustainable business growth and safeguard client interests across borders.

What You’ll Be Doing

• You will advise and represent clients on complex contracts and corporate matters, including:
• Company formation, corporate governance & structuring

Drafting and negotiating key commercial agreements, including Non-Disclosure Agreements (NDAs)

Contract Manufacturing Agreements (CMAs) Financing and investment structures

KYC (Know Your Customer) management, legal due diligence & transaction monitoring

Dispute resolution processes & corporate insurance management

Cross-border immigration processes, including Workforce mobility strategy Employment-based visa coordination (e.g., H-1B and other visa categories)

Multi-jurisdictional compliance support

Tax advisory and strategic tax planning, is a plus

What We’re Looking For

● Strong experience in U.S. corporate law

● Solid understanding of U.S. employment-based immigration processes

● Proven track record in leading and completing complex legal projects

● Knowledge of governance, restructuring, and compliance processes

● Ability to manage cross-border legal and regulatory matters

● Strong commercial mindset, able to connect legal strategy with business objectives

● Detail-oriented, pragmatic, and solution-driven approach

● Excellent drafting and negotiation skills

Compensation & Growth
